3. REPRESENTATIONS AND WARRANTIES

3.1 Registrant represents and warrants to Registrar that: (a) Registrant is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) Registrant has full power and authority to execute and deliver this Statement and to perform its obligations hereunder; (c) the information and documentation submitted to Registrar in connection with this registration are true, complete and not misleading in any material respect.

3.2 Registrar represents and warrants to Registrant that, as of the Effective Date, Registrar is authorized to accept the registration described herein and will maintain Registration Records in reasonable conformity with Registrar's standard practices.

4. COVENANTS

4.1 Registrar shall: (a) record the Registered Item in the Registration Records promptly following satisfaction of any conditions precedent; (b) make and maintain copies of all materials submitted in connection with registration for a minimum of five (5) years or as required by applicable law; and (c) provide Registrant, upon written request and subject to applicable fees, a copy of the Registration Records.

4.2 Registrant shall: (a) provide truthful and complete information and promptly notify Registrar of any changes in the information that would materially affect the Registration; and (b) pay all fees due under Section 5 when invoiced.

5. FEES AND PAYMENT

Registrant shall pay Registrar the fee of Amount: for the registration services rendered under this Statement. Payment is due within days of invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. RECORDS, AUDIT AND ACCESS

Registrar shall permit Registrant, upon reasonable prior written notice and during normal business hours, to audit and inspect Registration Records to verify compliance with this Statement. Any such audit shall be conducted at Registrant's expense unless material noncompliance is discovered.

7. CONFIDENTIALITY

Each party shall maintain in confidence all non-public information obtained in connection with this Statement and shall not disclose such information except (a) to its affiliates, employees, agents and advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein, (b) as required by law, or (c) with the other party's prior written consent. The confidentiality obligations shall survive termination of this Statement for a period of three (3) years.

8. TERMINATION

Either party may terminate this Statement upon thirty (30) days' prior written notice to the other party if the other party materially breaches this Statement and fails to cure such breach within such notice period. Termination shall not relieve Registrant of its obligation to pay fees accrued prior to termination nor affect provisions that by their nature are intended to survive termination, including Sections 3, 6, 7, 11, 12 and 13.

9. NOTICES

All notices, demands or other communications required or permitted hereunder shall be in writing and delivered to the notice addresses set forth above, and shall be effective upon receipt.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Statement shall be effective unless in a writing signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of such right.

11. GOVERNING LAW

This Statement shall be governed by and construed in accordance with the laws of the jurisdiction of Governing Law State: without regard to choice of law principles.

12. ENTIRE AGREEMENT

This Statement, together with any schedules and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

13. SEVERABILITY

If any provision of this Statement is held to be invalid, illegal or unenforceable in any respect, such provision shall be reformed only to the extent necessary to render it enforceable, and the remaining provisions shall remain in full force and effect.

14. COUNTERPARTS

This Statement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.
