RECITALS

WHEREAS, the Service Provider is qualified to prepare technical rehabilitation assessment diagrams, plans, and related documentation for building rehabilitation and accessibility remediation; and

WHEREAS, the Client requires professional assessment diagrams and associated recommendations to evaluate existing conditions, identify rehabilitation requirements, and estimate costs for the referenced project; and

NOW, THEREFORE, in consideration of the mutual covenants set forth in this Agreement, the parties agree as follows.

PAYMENT TERMS

The Client shall pay the Service Provider the compensation set forth below in exchange for the services and deliverables described in this Agreement.

All fees are exclusive of applicable taxes unless otherwise stated. Failure to make payments when due shall permit the Service Provider to suspend work after five (5) days' written notice; the Client shall remain liable for all work performed and reasonable suspension and reinstatement costs.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or until the services are completed, unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period set forth above. Upon termination for any reason, the Service Provider shall be entitled to payment for all services rendered and costs incurred to the termination date, together with any reasonable close-out costs.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information to any third party except as required by law or with the disclosing party's prior written consent. Confidential information does not include information that is or becomes generally available to the public other than through a breach of this Agreement.

DELIVERABLES, REVIEW, AND ACCEPTANCE

LIABILITY, INSURANCE & WARRANTIES

The Service Provider shall perform services in a professional and workmanlike manner consistent with industry standards. The Service Provider's liability for any claims arising out of or related to this Agreement shall be limited to direct damages and shall not exceed the total fees paid by the Client for the services under this Agreement. Neither party shall be liable for consequential, incidental, or punitive damages. The Client shall maintain adequate insurance to cover the premises and any claims arising from construction or rehabilitation activities. The Service Provider shall maintain professional liability insurance as required by professional practice standards.

The Client acknowledges that diagrams are based on visible conditions at the time of assessment and are not a warranty of concealed conditions. Further investigation may be required to verify subsurface or hidden conditions.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its principles of conflict of laws.

ENTIRE AGREEMENT

This Agreement, together with any attached exhibits, schedules, and accepted proposal documents, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modification or amendment must be in writing and signed by both parties.
