REHEARSAL EVENT CONTRACT

This Rehearsal Event Contract (the Agreement) is made and entered into on between the parties identified below.

WHEREAS, Client desires to hold a rehearsal event and requires space, facilities and services for rehearsal activities; and

WHEREAS, Venue / Producer represents that it has the facilities, staff and equipment necessary to provide the rehearsal services described in this Agreement and is willing to provide such services under the terms set forth below; and

WHEREAS, the parties wish to set forth their respective duties, fees and obligations in writing.

Scope of Work

The Venue / Producer will provide rehearsal space, on-site technical assistance, lighting and sound access as reasonably required for the rehearsal. Specific responsibilities and deliverables are set out below and may be amended only in writing signed by both parties.

Late Payment: A late fee of of the outstanding balance per month, or the maximum allowed by law, shall apply to any amounts unpaid after the Balance Due Date. In addition, Venue / Producer may suspend services until overdue amounts are paid.

Cancellation and Refunds

Cancellation by Client must be provided in writing. If Client cancels more than days prior to the rehearsal date, the deposit will be refunded less any non‑reimbursable costs. Cancellation within the notice period will result in forfeiture of the deposit and may incur additional charges for actual costs and lost opportunities.

Term and Termination

This Agreement commences on and terminates on , unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within days after written notice. Either party may also terminate for convenience upon providing days prior written notice; termination for convenience will be subject to any cancellation fees stated above.

Confidentiality

Each party acknowledges that, in connection with this Agreement, it may receive confidential information of the other party. Confidential Information shall be used solely for performance under this Agreement and shall not be disclosed to third parties except to the extent required by law or with prior written consent. Confidentiality obligations survive termination for a period of three (3) years.

Liability and Insurance

Venue / Producer will maintain general liability insurance customary for facilities of similar size and use. Client is responsible for its own property and personnel and shall obtain appropriate insurance for instruments, equipment and participants. Each party agrees to indemnify and hold the other harmless from claims arising out of its negligent acts or omissions.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any quoted attachments or exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written negotiations, commitments and understandings. Amendments must be made in writing and signed by authorized representatives of both parties.
