WHEREAS, Owner represents that Owner is the lawful owner and/or lawful custodian of the animal described below and has authority to transfer possession of the animal; and

WHEREAS, Participant desires to accept temporary or permanent custody of the animal and to perform the duties and responsibilities described herein; and

WHEREAS, the parties desire to set forth their respective duties, payment terms (if any), confidentiality obligations, and the terms for transfer and termination of rehoming services.

Participant agrees to assume care, custody, and control of the animal and to carry out the activities and obligations described below. Owner agrees to provide truthful disclosure and to transfer possession in accordance with this Agreement.

Payment Terms

The parties acknowledge that an adoption/rehoming fee may be charged as set forth below. Any fee is consideration for transfer of custody and related services and is not a purchase of the animal as personal property apart from this Agreement.

Any unpaid amounts not received within the agreed period shall accrue the late fee described above and may constitute grounds for termination under the Term and Termination provisions below.

Term and Termination

Either party may terminate this Agreement for material breach by the other party following written notice and an opportunity to cure within the notice period, except that immediate termination is permitted where necessary to protect the health, safety, or well-being of the animal.

Confidentiality

Each party shall maintain as confidential and shall not disclose any personal or medical information regarding the other party or the animal except as required by law or as reasonably necessary to perform under this Agreement. Confidential information includes, without limitation, veterinary records, medical history, and personal contact information.

Representations, Warranties and Covenants

Owner represents and warrants that Owner has the right to transfer custody of the animal, that the disclosures made herein are true and complete to the best of Owner's knowledge, and that there are no liens, encumbrances, or legal restrictions preventing transfer. Participant represents that Participant will comply with all local ordinances and provide necessary care as set forth in the Scope of Work.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) resulting from that party's breach of this Agreement, willful misconduct, or negligent acts or omissions. Except for indemnification obligations or willful misconduct, neither party shall be liable to the other for incidental, consequential, or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law rules.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements. Any amendment or modification must be in writing and signed by both parties.
