REIMBURSEMENT AGREEMENT

This Reimbursement Agreement (the Agreement) is entered into as of by and between Client Name: , with principal address: (Payor), and Service Provider Name: , with principal address: (Recipient).

RECITALS

WHEREAS, Payor and Recipient have entered into one or more agreements pursuant to which Recipient may incur certain costs, expenses or disbursements on behalf of Payor or for which Payor has agreed to reimburse Recipient; and

WHEREAS, the parties desire to set forth the terms and conditions under which Payor will reimburse Recipient for such Reimbursable Expenses, including documentation, approval, and payment procedures.

WHEREAS, the parties intend that all reimbursements made pursuant to this Agreement be subject to the limitations, conditions and procedures herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below:

"Reimbursable Expenses" means reasonable and necessary out-of-pocket costs, charges, fees and disbursements incurred by Recipient on behalf of Payor that are expressly authorized in writing by Payor or otherwise agreed in this Agreement, and which are supported by invoices and original receipts as required by Section 4.

"Invoice" means an itemized statement submitted by Recipient describing the Reimbursable Expenses, attaching required documentation and stating the total amount due for reimbursement.

2. OBLIGATION TO REIMBURSE

Payor agrees to reimburse Recipient for all Reimbursable Expenses incurred in accordance with the terms of this Agreement, subject to the conditions and limitations herein. Reimbursement is conditioned upon (a) prior written authorization where required, (b) submission of an Invoice in the form required by Section 4, and (c) Payor's verification of the charges.

Maximum aggregate reimbursement under this Agreement shall not exceed $ unless otherwise agreed in writing signed by authorized representatives of both parties.

3. REIMBURSABLE EXPENSES; EXCLUSIONS

Reimbursable Expenses shall include, without limitation, travel expenses (airfare, lodging, ground transportation), reasonable third-party vendor fees, materials and supplies, and other direct costs reasonably necessary to perform services for Payor. Reimbursable Expenses expressly exclude expenses of a capital nature, personal expenses, fines or penalties, and any expenses not supported by documentation required by this Agreement.

4. APPROVAL AND DOCUMENTATION

Recipient must submit an Invoice no later than days after incurring the expense, except where prior written approval by Payor provides otherwise. Each Invoice must be accompanied by original or legible electronic receipts, vendor invoices, time entries (if applicable) and any authorizations required by Payor.

Each Invoice shall contain a clear description of the expense, date incurred, payee, and the portion allocable to Payor. Payor may reject any Invoice that fails to comply with these documentation requirements, in which case Payor shall notify Recipient of deficiencies and Recipient shall have ten (10) days to cure.

5. PAYMENT TERMS

Payor shall pay any undisputed amount of a properly documented Invoice within days following Payor's receipt of such Invoice. Payment shall be made by wire transfer or check to the account or address designated by Recipient in writing.

6. SET-OFF; RECOVERY

If Payor reasonably determines that an Invoice contains amounts that are not Reimbursable Expenses or are otherwise in error, Payor may withhold payment of such disputed amounts pending resolution. If Payor makes a payment in error, Payor may set-off the amount against any amounts then due to Recipient or seek recovery from Recipient.

7. RECORDS AND AUDIT

Recipient shall keep complete and accurate records supporting all Reimbursable Expenses for a period of years following submission of an Invoice. Payor, or its designated representative, shall have the right, upon reasonable notice and during normal business hours, to audit such records to verify the accuracy of Invoices. Any overpayment discovered as a result of such audit shall be promptly repaid by Recipient with interest at the rate of % per annum, or the maximum lawful rate, whichever is less.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full corporate power and authority (if an entity) or legal capacity (if an individual) to enter into this Agreement, and that the person executing this Agreement on its behalf is authorized to do so. Recipient represents that all Reimbursable Expenses submitted are true, accurate, reasonably necessary, and compliant with applicable laws and third-party agreements.

9. INDEMNIFICATION

Recipient shall indemnify, defend and hold harmless Payor and its officers, directors and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Recipient's breach of this Agreement, negligence in incurring Reimbursable Expenses, or submission of fraudulent or unsupported Invoices.

10. CONFIDENTIALITY

Each party shall maintain in confidence any non-public information disclosed in connection with this Agreement and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. Confidential information shall not include information that is or becomes publicly available without breach of this Agreement.

11. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon days' prior written notice to the other party. Termination shall not relieve either party of obligations incurred prior to the effective date of termination, including submission and payment of Invoices for Reimbursable Expenses incurred prior to termination.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties agree that exclusive venue for any action arising out of this Agreement shall be in the state or federal courts located in the county designated by Payor's principal place of business, unless otherwise mutually agreed in writing.

14. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No waiver of any breach shall constitute a waiver of any other breach or of the provision itself.

15. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means (including facsimile or electronic signature) shall be deemed to be original signatures for all purposes.
