What the Related Parties Confirmation Agreement Is and When it Applies

A Related Parties Confirmation Agreement is a written declaration used to identify and confirm relationships between contracting parties, affiliates, or entities that have a material connection affecting a transaction or contract. It documents ownership, control, management overlap, or other affiliations that could create conflicts of interest, related-party transactions, or require disclosure under corporate governance rules. The agreement typically accompanies financing, procurement, mergers, audits, or regulatory filings and provides factual statements useful for compliance, underwriting, or audit trails in both private and regulated sectors.

Why confirming related-party relationships matters

Accurate related-party confirmation reduces regulatory risk, clarifies financial reporting, and preserves contract enforceability by documenting affiliations, consideration, and disclosure that auditors, lenders, or regulators expect.

Why confirming related-party relationships matters

Typical users and stakeholders for this agreement

Use this document when a transaction, loan, vendor relationship, or corporate action could be influenced by ownership or control ties that must be disclosed or verified.

  • Legal counsel and in-house compliance teams verifying conflict-of-interest disclosure and contract enforceability.
  • Finance and accounting preparing consolidated financial statements or related-party disclosures for audits.
  • Lenders and underwriters assessing credit risk and ownership connections before extending credit.

Who can sign and why

Authorized Officer

An officer or authorized representative with authority to bind the entity should sign. Their signature confirms the entity-level facts and subjects the signer to corporate authorization and representations.

Individual Party

When the confirmation concerns an individual owner or manager, that person signs to attest to personal relationships, ownership percentages, or compensation arrangements relevant to the transaction.

Core elements to include in a professional confirmation

A complete Related Parties Confirmation Agreement should be concise but comprehensive to satisfy auditors, lenders, and legal reviewers without excessive boilerplate.

Parties

Full legal names and entity types for each party and any affiliates or related entities referenced in the confirmation.

Relationship description

Clear description of the relationship (ownership percentage, family ties, management roles, contractual obligations) that creates the related-party status.

Effective date

The date the facts are confirmed and the period the confirmation covers, stated in MM/DD/YYYY format where practical.

Consideration and terms

Any compensation, transfers, loans, or preferential terms between related parties that bear on financial or contractual evaluation.

Representations and warranties

Affirmations that the information is true, complete, and that the signer has authority to make the confirmation.

Signature block

Name, title, date, and contact information of the signer plus a statement of capacity and, if required, notary or witness space.

Step-by-step: complete and deliver the confirmation

A straightforward completion sequence reduces rework and preserves an audit trail for reviewers and regulators.

  • 01
Prepare data: Gather formation documents, ownership ledgers, and contracts to support statements.
  • 02
Populate form: Enter names, percentages, and relationship details in the fields described above.
  • 03
Review internally: Legal and finance should confirm accuracy and authority before signature.
  • 04
Sign and deliver: Sign by authorized party, add notarization if required, and send to the requesting party with supporting documents.

Typical routing and processing flow

Understanding the usual routing helps set expectations for turnaround and approvals.

  • Sender upload: Originator uploads agreement and supporting documents to the signing platform.
  • Assign signer: Designate the authorized signer and attach capacity evidence if required.
  • Sign and verify: Signer completes signature; verification and audit trail capture identity metadata.
  • Distribute copies: Signed copies and certificates are distributed to requester, legal, and retained per retention policy.

Digital signing and platform requirements

Ensure the platform and configuration meet any industry or regulatory requirements applicable to the transaction, including retention and access controls.

  • Document formats: PDF or DOCX recommended
  • Authentication options: Email, SMS OTP, or ID credential analysis
  • Integrations: Connectors for storage and workflows (CRM, document repository)

Schedule notary or RON session within signing period as required

Key milestones from draft to archival

Track these stages to ensure timely execution and a defensible audit trail.

01

Draft completion

Finalize factual content and attach supporting documents before routing.

02

03

Execution and notarization

04

Common preparation errors to avoid

  • Signing by an unauthorized person without proof of board or delegated authority.
  • Missing or ambiguous effective dates that create disputes over coverage periods.
  • Failing to attach supporting documents such as resolutions or ownership ledgers.

Risks and legal consequences of incorrect confirmations

Contract voidance: A materially false confirmation can render agreements voidable or lead to rescission.
Regulatory sanctions: Errors in disclosures may trigger regulator inquiries, fines, or penalties in regulated industries.
Audit findings: Auditors may qualify financial statements or require restatements if related-party transactions are misstated.
Lender remedies: Misrepresentations can result in default, demand for repayment, or covenant breaches.
Civil liability: Affected parties may pursue damages for nondisclosure or fraudulent statements.
Reputational harm: Disclosure failures can impair future access to capital or contracts.

  • The auditor accepted the confirmations with attachments, closing the related-party audit point efficiently.

Practical tips for efficient, accurate confirmations

Adopt practices that minimize follow-up and strengthen evidentiary value.

Use clear templates
Standardize wording and required attachments so signers know exactly which documents to provide and reviewers can compare like-for-like.
Capture authority
Require a board resolution or certificate of incumbency for entity signers to confirm delegated signing authority.
Prefer digital notarization
Where permitted by state law, use Remote Online Notarization (RON) to reduce scheduling friction and retain audio-video records.
Retain audit trail
Keep tamper-evident signed PDFs and signature certificates to support audits and disputes.
