WHEREAS

WHEREAS, Organizer operates and manages certain activities, events and related facilities (collectively, the "Activity") and offers participation to members of the public under specified terms; and

WHEREAS, Participant desires to participate in the Activity organized by Organizer and recognizes that such participation involves inherent risks, including bodily injury, property damage, and other losses; and

WHEREAS, Participant is willing to assume those risks and to release Organizer and associated persons and entities from liability as set forth in this Release and Waiver of Liability (the "Agreement").

Participant acknowledges and agrees that participation in the Activity carries known and unknown risks which may include serious bodily injury, permanent disability, death, and damage to property. Participant represents that Participant is physically able to participate and accepts full responsibility for any and all risks, whether caused in whole or in part by the negligence of Organizer or otherwise.

Release and Waiver

In consideration of being permitted to participate in the Activity, Participant, on behalf of Participant and Participant's heirs, executors, administrators, personal representatives, and assigns, hereby releases, waives, discharges, and covenants not to sue Organizer, its affiliates, officers, directors, employees, agents, volunteers, and contractors (collectively, the "Released Parties") for any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, injury, or death that may be sustained by Participant, whether arising from the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

Indemnification

Participant agrees to indemnify, defend and hold harmless the Released Parties from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Participant's participation in the Activity, breach of this Agreement, or negligent or willful acts or omissions by Participant.

This Agreement is effective as of the date signed by Participant and applies to participation in the Activity identified above.

Confidentiality

During and after participation in the Activity, Participant may receive confidential or proprietary information. Participant agrees not to disclose such information to third parties and to use confidential information solely for purposes related to the Activity. This obligation survives termination of this Agreement.

Participant represents that Participant is of legal age and has full authority to enter into this Agreement. If Participant is under the age of majority where Participant resides, a parent or legal guardian must sign on Participant's behalf.

Governing Law; Severability; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements, representations, and understandings, whether written or oral.
