RELEASE OF PROPERTY CONTENTS

WHEREAS

WHEREAS, Releasor is the lawful owner or authorized claimant of certain tangible personal property and contents currently located at the premises or storage location described above; and

WHEREAS, Releasee holds, manages, or controls the referenced property and has agreed to release, surrender, or transfer possession of such contents to Releasor subject to the terms and conditions contained in this Release of Property Contents; and

WHEREAS, the parties desire to document the scope of the release, any payment or indebtedness associated with the release, and the allocation of risk and liabilities arising from the release and transfer of possession.

SCOPE OF WORK / RELEASE

The Releasee shall make available and transfer to Releasor the property contents described below, subject to the representations, warranties, payment, and release terms set forth in this agreement. Releasor agrees to inspect and accept the contents at the time of delivery or removal.

PAYMENT TERMS

Releasor shall pay Releasee the consideration set forth below as a condition precedent to release and transfer of possession. All fees are due in cleared funds as specified in the payment schedule.

CONFIDENTIALITY

Each party shall keep confidential all non-public information and documents provided by the other party in connection with the release of contents, including inventories, valuations, and personal data, and shall not disclose such information except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. This obligation survives termination of this Release.

INDEMNIFICATION AND RELEASE

Releasor hereby releases and forever discharges Releasee, its officers, employees, agents and affiliates from any and all claims, demands, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the condition, removal, transport, storage, or release of the contents described herein, except to the extent caused by Releasee's gross negligence or willful misconduct. Releasor agrees to indemnify, hold harmless and defend Releasee for any third-party claims arising from Releasor's ownership, misrepresentation of title, or failure to disclose hazardous or restricted materials.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Release and to perform its obligations hereunder; that the execution and performance of this Release do not violate any agreement to which it is a party; and that the information provided in connection with the release is true and correct to the best of its knowledge.

GOVERNING LAW

This Release shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles. The parties agree that exclusive jurisdiction and venue for any dispute arising under this Release shall be in the courts located within that state.

ENTIRE AGREEMENT

This Release, including any attached inventories and supplements, constitutes the entire agreement between the parties with respect to the release of the property contents and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any modification of this Release must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Release is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that execution of this Release may be evidenced by electronic signature or facsimile and that such signatures shall have the same force and effect as original signatures.
