What the Religious Organization Contribution Agreement Is

A Religious Organization Contribution Agreement is a written contract documenting a donor's grant, gift, or transfer of assets to a faith-based organization and the terms that govern that contribution. It records parties, description and valuation of donated property (cash, securities, real property, or services), any restrictions or designated purposes, reporting obligations, and signatures. The agreement clarifies donor intent, transfer conditions, acceptance by the organization, and how the contribution will be used, monitored, and acknowledged for tax and internal control purposes.

Why a Formal Agreement Matters

Documenting contributions protects donor intent, supports charitable deduction substantiation, and provides the organization with enforceable terms for restricted gifts. Clear agreements reduce misunderstandings, aid compliance with IRS substantiation rules, and create a record for internal controls and audits.

Why a Formal Agreement Matters

Who Typically Prepares and Signs These Agreements

Properly routed signatures and a retained executed copy provide legal clarity and support financial and tax reporting requirements.

  • Congregation leadership and trustees: approve acceptance, set restrictions, and ensure compliance with organizational policies and state law.
  • Development or stewardship officers: handle donor communications, draft terms, and provide receipts for tax substantiation.
  • Donors and donor representatives: confirm gift description, valuation method, restrictions, and sign to indicate intent and consent.

Typical Signatories and Their Roles

Church Administrator

Oversees internal processing and recordkeeping. Responsible for ensuring the agreement aligns with church policy, securing board or trustee authorization when required, and maintaining the executed agreement in the official records.

Donor Representative

Signs to confirm the donor's identity and intent, provides necessary documentation for valuation (appraisals for non-cash gifts), and supplies taxpayer information required for IRS substantiation and acknowledgment.

Essential Components to Include

A complete Religious Organization Contribution Agreement contains discrete sections that define the gift, outline obligations, and provide legal clarity for both donor and organization.

Donor Identity

Full legal name, business or individual status, taxpayer identification (if applicable), and contact information used for receipts and required IRS reporting.

Description of Gift

Clear, specific description of what is being contributed (cash, stock, real property, tangible personal property, or services), including quantity, condition, and identifying details.

Valuation and Appraisal

Statement of how value is determined and whether an independent appraisal is attached; needed for donor deduction substantiation for non-cash gifts over IRS thresholds.

Restrictions and Purposes

Any donor-imposed restrictions, designated programs, time limitations, or spend-down instructions and how the organization will honor or alter those restrictions.

Representations and Warranties

Donor and organization promises (e.g., donor has title to gift, no encumbrances, organization accepts subject to policy) to minimize later disputes.

Execution and Dates

Signature blocks for donor and authorized organization representative, effective date, and witness or notarization fields when required by policy or state law.

Step-by-Step: Completing the Agreement

Follow a consistent sequence to ensure acceptance, compliance, and accurate records.

  • 01
Prepare draft: Populate donor data and gift description, attach supporting docs.
  • 02
Board review: Obtain required approvals per organizational policy.
  • 03
Execution: Collect signatures, witness or notary if required.
  • 04
Recordkeeping: Store executed copy with financial records and donor file.

Workflow Overview for Acceptance and Processing

A typical acceptance workflow routes the draft through approval, execution, and record retention steps, with clear handoffs at each stage.

  • Upload: Sender uploads completed draft and supporting files.
  • Approve: Designated approver reviews terms and authorizes acceptance.
  • Sign: Donor and organization sign electronically or in person.
  • Archive: Store final agreement in secure records and issue donor receipt.

Digital Setup: Fields and Routing

Configure the digital workflow to collect required data, authenticate signers, and route documents for approval and archival.

Field Configuration
Donor Name Field Required; autofill from donor database
Gift Description Field Multiline; attach files option
Signature Blocks Role-based signer fields, date stamps
Approval Workflow Sequential routing to development and trustees

Technical Considerations for eSigning and Integration

Verify HIPAA, SOC 2, or 21 CFR Part 11 compliance when handling protected data, and confirm audit trail granularity for donor substantiation.

  • Authentication Options: Email, SMS code, KBA, or SSO available.
  • Supported Formats: PDF, DOCX, and scanned images accepted.
  • Integrations: Connects with CRM, cloud storage, and accounting

Security, Compliance, and Data Controls

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
HIPAA BAA: Available where required
Audit Trail: Timestamped actions and IP logs
Access Controls: Role-based permissions
Retention Settings: Configurable legal retention
Multi-Factor Auth: Two-factor signer or admin options

Consequences of Errors or Omitted Details

Tax Penalties: Incorrect substantiation risks IRS challenges
Gift Rejection: Organization may decline acceptance if defects exist
Voidable Terms: Ambiguous restrictions can create disputes
Privacy Breach: Improper PHI handling may trigger HIPAA exposure
Notary Defects: Improper notarization can impair enforceability
Litigation Exposure: Conflicts over donor intent can lead to lawsuits

Common Pitfalls to Avoid

  • Vague donor restrictions that lack measurable objectives or timelines, making administration and compliance difficult.
  • Missing or inconsistent donor identifiers (name, TIN) that trigger backup withholding or prevent tax acknowledgment.
  • Failure to attach required appraisals or substantiation for non-cash gifts, risking disallowed deductions.
  • Using informal language instead of clear legal terms for transfer of title, resulting in uncertainty over ownership.
