RELIGIOUS SIDDUR AGREEMENT

This Religious Siddur Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Commissioner desires to commission the compilation, editing, typesetting and publication of a religious siddur (the "Siddur") containing liturgy, translations, commentary, and related material in accordance with the specifications set forth herein; and

WHEREAS, Publisher represents that it has the editorial, liturgical and production expertise necessary to prepare, produce and publish the Siddur in print and/or digital form in compliance with accepted religious practice and standards; and

WHEREAS, the parties wish to set forth their respective duties, compensation, rights and obligations with respect to the Siddur.

SCOPE OF WORK

Publisher shall provide all editorial, typesetting, proofreading, art and production services necessary to produce the Siddur in accordance with the specifications agreed between the parties. Publisher's obligations shall include obtaining permissions for third-party materials, producing galley proofs, and coordinating printing and/or delivery of digital files.

Late payment shall incur a charge of on unpaid balances, and reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination for convenience by Commissioner requires days' prior written notice and payment for work performed to date.

CONFIDENTIALITY

Each party shall keep confidential, and shall not disclose to any third party, any non-public information of the other party disclosed in connection with this Agreement, including unpublished liturgical texts, editorial annotations, and commercial terms. Confidential information does not include information that is publicly known without breach of this Agreement or that is independently developed.

Publisher shall not distribute or license the Siddur text for any purpose other than as expressly permitted in writing by Commissioner, except where necessary for production, printing, or distribution under this Agreement.

INTELLECTUAL PROPERTY AND RIGHTS

Unless otherwise agreed in writing, Commissioner retains copyright in original liturgical contributions provided by Commissioner while granting Publisher a license to publish, reproduce and distribute the Siddur as set forth in this Agreement. The parties may elect assignment of copyright by separate written instrument.

Publisher warrants that it will obtain all necessary permissions for third-party material and will provide Commissioner with copies of permission documentation prior to final publication.

WARRANTIES, REPRESENTATIONS, AND INDEMNIFICATION

Each party represents and warrants to the other that it has the authority to enter this Agreement and to perform its obligations. Commissioner represents that materials it supplies do not infringe third-party copyrights and that it has obtained any necessary waivers or permissions.

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities and expenses (including reasonable attorneys' fees) arising out of third-party claims resulting from the indemnifying party's breach of its representations and warranties.

NOTICES

All notices under this Agreement shall be in writing and sent to the addresses set forth below or to such other address as either party may designate by notice in accordance with this section.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflict of laws. Venue for any dispute arising out of this Agreement shall lie in the courts of that state.

ENTIRE AGREEMENT

This Agreement, together with any attached schedules or exhibits and any purchase orders referencing this Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications between the parties, whether oral or written. Any amendment or modification of this Agreement must be in writing signed by both parties.
