PAYMENT TERMS

The fees set forth in this estimate are contingent upon completion of the Scope of Work as described and are payable according to the schedule below. Contractor will invoice Client and Client shall pay undisputed amounts in accordance with the following terms.

Late Payment: Past due amounts shall accrue interest at the lesser of (a) % per month or (b) the maximum rate permitted by law, plus recovery of reasonable collection costs and attorney fees.

Either party may terminate performance for material breach if the breaching party fails to cure within days after written notice. Upon termination, Contractor shall be entitled to payment for work performed, materials purchased and reasonable demobilization costs.

CHANGE ORDERS

Any change to the Scope of Work shall be documented by a written Change Order signed by Client and Contractor. Change Orders shall itemize additions or deletions and state price adjustments and schedule impacts. Contractor's hourly rates for unscoped services:

INSURANCE, INDEMNITY & RISK ALLOCATION

Contractor represents that it carries the following coverages for work at the Site: General Liability, Commercial Automobile, Workers' Compensation, and Environmental Liability where applicable. Indicate limits and carrier upon request. Contractor shall indemnify and hold Client harmless from claims arising from Contractor's negligent acts, omissions or willful misconduct, subject to limits and exclusions expressly set forth in any separate contract between the parties.

CONFIDENTIALITY

All non-public technical data, cost information, reports and analyses prepared by Contractor for Client in connection with this Estimate shall be treated as confidential and shall not be disclosed by either party to third parties except as required by law or as necessary to perform the Scope of Work. Confidential information shall be used solely for evaluation or execution of the remediation and shall remain subject to confidentiality obligations for a period of three (3) years from the date of this Estimate.

GOVERNING LAW

This Estimate and any subsequent contract arising from acceptance shall be governed by and construed in accordance with the laws of the state in which the Project / Site is located, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Estimate constitutes the entire understanding between Client and Contractor with respect to the matters described herein. Acceptance of this Estimate by Client, whether by signature or issuance of a purchase order referencing the estimate number, shall form the basis for a binding remediation services agreement incorporating the terms set forth herein and any mutually executed contract documents.

ACCEPTANCE

By signing below, Client acknowledges receipt of this Remediation Cost Estimate and accepts the terms, assumptions and conditions stated herein.
