Agent agrees to perform Services in a professional, timely, and compliant manner, following Company operational procedures and any job-specific instructions provided in writing.

Either Party may terminate this Agreement without cause upon written notice to the other Party at least days prior to the effective termination date. Termination for cause shall be effective immediately upon written notice if the other Party materially breaches any obligation and fails to cure within a reasonable period where applicable.

CONFIDENTIALITY

Agent will have access to confidential and proprietary information of Company. Agent shall hold all Confidential Information in strict confidence, shall not disclose such information except as necessary to perform the Services, and shall use no less than reasonable care to protect such information from unauthorized use or disclosure. Confidential Information does not include information that (i) is or becomes publicly available through no fault of Agent, (ii) was rightfully known by Agent prior to disclosure, or (iii) is rightfully obtained from a third party without a duty of confidentiality.

The obligations under this section shall survive termination of this Agreement for a period of years, or for the duration required by law, whichever is longer.

Agent acknowledges and agrees to be bound by the confidentiality obligations set forth above.

EQUIPMENT AND COMPANY PROPERTY

Company may issue equipment, software licenses, and credentials to Agent to enable performance of Services. Agent shall maintain such equipment in good working order and shall return all Company property within ten (10) business days of termination.

Agent acknowledges receipt of the equipment listed above and agrees to return such equipment upon request or termination.

INTELLECTUAL PROPERTY

All work product, inventions, designs, processes, software, improvements, and other materials created by Agent in the course of performing the Services that relate to Company's business shall be the sole and exclusive property of Company. Agent hereby assigns to Company all right, title, and interest in such work product and will execute such documents as reasonably requested to evidence or further effectuate such assignment.

COMPLIANCE AND BACKGROUND CHECKS

Agent consents to any background checks, identity verification, or other screening procedures required by Company as a condition of onboarding. Such checks will be conducted in accordance with applicable law.

ENTIRE AGREEMENT

This Agreement, including any incorporated attachments or addenda executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral, relating thereto. Any amendment must be in writing and signed by both Parties.
