RENEWAL COMMITMENT AGREEMENT

This Renewal Commitment Agreement (the Agreement) is entered into as of by and between Party A Name: , with an address at (hereinafter "Party A"), and Party B Name: , with an address at (hereinafter "Party B").

WHEREAS

WHEREAS, Party A and Party B are parties to a prior agreement governing certain services and obligations (the Prior Agreement); and

WHEREAS, the parties have agreed to renew and extend specified obligations and to set forth the terms of such renewal in this Renewal Commitment Agreement; and

WHEREAS, the parties desire to memorialize the renewed scope of work, payment terms, confidentiality obligations and related provisions as set forth below.

SCOPE OF WORK

Party A agrees to provide, and Party B agrees to accept and pay for, the services and deliverables described below. The specific duties, milestones and deliverables shall be set forth by the parties in the field below. The parties acknowledge that changes to scope require written consent signed by authorized representatives of both parties.

PAYMENT TERMS

Party B shall pay Party A for the services described in this Agreement in accordance with the schedule and amounts set forth below. All payments shall be made in lawful currency of the United States unless otherwise agreed in writing.

Any amount not paid within days after the due date shall bear a late fee of percent per month (compounded monthly) or the maximum permitted by applicable law, whichever is less. In addition, Party B shall reimburse Party A for reasonable collection costs and attorney fees incurred in recovering overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in full force and effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Either party may terminate for convenience upon providing days' prior written notice to the other party, subject to payment for services performed through the effective date of termination.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non-public, proprietary information disclosed by one party to the other, whether in oral, written, electronic or other form, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party shall: (a) hold Confidential Information of the other in strict confidence; (b) not disclose Confidential Information to any third party except to those employees, agents or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information solely to perform its obligations or exercise rights under this Agreement. The obligations in this Section shall not apply to information that (i) is or becomes publicly available through no fault of the receiving party, (ii) is rightfully received from a third party without restriction, (iii) is independently developed by the receiving party without use of Confidential Information, or (iv) must be disclosed pursuant to applicable law or court order, provided the receiving party gives prompt notice and cooperates in any effort to limit or protect such disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments specifically incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Party A may assign to an affiliate or successor in interest in connection with a merger or sale of substantially all of its assets.
