RENEWAL EXTENSION AGREEMENT

This Renewal Extension Agreement (the Agreement) is entered into as of Effective Date: by and between First Party Name: and Second Party Name: .

RECITALS

WHEREAS, the parties entered into an original agreement titled Original Agreement Description: dated Original Agreement Date: (Original Agreement); and

WHEREAS, the parties wish to extend the term of the Original Agreement and to modify certain terms as set forth in this Agreement.

SCOPE OF EXTENSION

The parties agree that the scope of services, obligations and deliverables under the Original Agreement shall be continued and, where modified below, shall be governed by the terms of this Agreement. Any changes to scope that materially increase cost or time must be documented in a written amendment signed by both parties.

PAYMENT TERMS

As consideration for the extension and any additional services provided under this Agreement, the Second Party shall pay the First Party in accordance with the following terms.

All payments shall be payable in the currency specified in the Original Agreement. Late payments shall accrue interest or late fee as specified above, and the non-defaulting party may suspend performance if payments are more than thirty (30) days overdue, provided that the non-defaulting party gives ten (10) days' prior written notice and the defaulting party fails to cure within such period.

TERM AND TERMINATION

The term of this extension shall commence on Extension Start Date: and shall expire on Extension End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve any party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each party shall continue to keep confidential all Confidential Information received from the other party under the Original Agreement and this Agreement. Confidential Information means non-public information that is clearly identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidentiality obligations survive termination or expiration of this Agreement for a period of three (3) years except for trade secrets, which shall remain confidential for as long as they qualify as trade secrets.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between authorized representatives. If negotiation fails, any unresolved controversy or claim arising out of or relating to this Agreement shall be resolved by binding arbitration if agreed by the parties, or otherwise by the courts located in the county of the governing state.

MISCELLANEOUS

Entire Agreement: This Agreement, together with the Original Agreement and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, acquisition or sale of substantially all assets.

Amendment and Waiver: No amendment, modification or waiver of this Agreement shall be effective unless in writing and signed by both parties. A waiver of any breach shall not constitute a waiver of any subsequent breach.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses below by hand, certified mail (return receipt requested) or nationally recognized overnight courier.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic or facsimile signatures shall be deemed original signatures for all purposes.
