RENEWAL FEE RIDER AGREEMENT

This Renewal Fee Rider Agreement (the "Rider") is made as of the day of , by and between Provider: with principal place of business at (hereinafter "Provider"), and Client: with principal place of business at (hereinafter "Client"). Provider and Client may be referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, the Parties are parties to a certain underlying agreement identified as: dated (the "Underlying Agreement"); and

WHEREAS, the Parties desire to amend the Underlying Agreement to establish a renewal fee and payment terms that will apply upon any renewal or extension of the term of the Underlying Agreement; and

WHEREAS, the Parties intend for this Rider to be incorporated into and to govern as an amendment to the Underlying Agreement to the extent provided herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Rider, the following terms shall have the meanings set forth below: "Renewal Fee" means the fee described in Section 2; "Renewal Date" means the effective date of any renewal or extension of the Underlying Agreement; "Business Day" means any day other than a Saturday, Sunday or day on which banks in the jurisdiction of the Governing Law are authorized to be closed.

2. RENEWAL FEE

2.1. Renewal Fee Amount. Client shall pay Provider a Renewal Fee in the following form (select one):

Fixed Amount: $ payable on or before the Renewal Date; or

Percentage: % of the renewal consideration as defined in the Underlying Agreement, payable in accordance with Section 3.

2.2. Application. The Renewal Fee shall be non-refundable and shall be in addition to any amounts otherwise due under the Underlying Agreement. If the Renewal Fee is payable in installments, the schedule for such installments shall be as set forth in Section 3.

3. PAYMENT TERMS

3.1. Due Date. Unless otherwise agreed in writing, the Renewal Fee shall be due days prior to the Renewal Date or upon such other date as the Parties shall mutually agree.

3.2. Method of Payment. Payments of the Renewal Fee shall be made by the following method: . Payment shall be made to Provider at the notice address specified in Section 8 or to such other account or address as Provider may designate in writing.

3.3. Late Payment. Any amount not paid when due shall accrue interest at a rate of % per month (or the maximum rate permitted by law, if lower), computed daily from the due date until paid. In addition, Provider may suspend performance under the Underlying Agreement until all overdue amounts, interest and collection costs are paid in full.

4. TERM; SURVIVAL; TERMINATION

4.1. Term. This Rider shall commence on the Effective Date set forth above and shall remain in effect for the duration of the Underlying Agreement, including any renewals or extensions, unless earlier terminated in accordance with this Section.

4.2. Survival. The Parties agree that all payment obligations and provisions intended to survive termination, including Sections 2 (Renewal Fee), 3 (Payment Terms), 6 (Indemnification), and 11 (Governing Law), shall survive any termination or expiration of the Underlying Agreement.

4.3. Termination for Breach. Either Party may terminate this Rider and the Underlying Agreement for material breach by the other Party if such breach remains uncured for a period of thirty (30) days after written notice specifying the breach, provided that termination shall not relieve the breaching Party of any obligations accrued prior to termination, including payment of the Renewal Fee if due.

5. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that (a) it has full power and authority to enter into this Rider and to perform its obligations hereunder; (b) the execution, delivery and performance of this Rider have been duly authorized by all necessary corporate or other organizational action; and (c) this Rider constitutes a legally valid and binding obligation enforceable in accordance with its terms, subject to applicable bankruptcy, insolvency and equitable principles.

6. INDEMNIFICATION

Client shall indemnify, defend and hold harmless Provider and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Client's failure to pay the Renewal Fee when due or Client's breach of this Rider.

7. LIMITATION OF LIABILITY

Except for liability arising from a Party's gross negligence, willful misconduct or intentional breach of the payment obligations in this Rider, neither Party shall be liable to the other for punitive, special, incidental or consequential damages, including lost profits, even if such Party has been advised of the possibility of such damages.

All notices, demands and communications required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, delivered by nationally recognized overnight courier, or three (3) Business Days after deposit in the United States mail, postage prepaid, to the address specified above or to such other address as a Party may designate by written notice to the other Party in accordance with this Section.

9. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Rider shall be effective unless in writing and signed by authorized representatives of both Parties. The failure or delay by either Party to enforce any right shall not constitute a waiver of that right or any other right.

10. COUNTERPARTS

This Rider may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.

11. GOVERNING LAW

This Rider shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws rules. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Rider, subject to any injunctive relief remedies available in other jurisdictions.

12. ENTIRE AGREEMENT

This Rider, together with the Underlying Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to such subject matter. In the event of any conflict between this Rider and the Underlying Agreement, the terms of this Rider shall control.

13. SEVERABILITY

If any provision of this Rider is held to be illegal, invalid or unenforceable in any respect by a court of competent jurisdiction, such provision shall be severed and the remainder of this Rider shall remain in full force and effect to the fullest extent permitted by law.

14. MISCELLANEOUS

The Parties agree that time is of the essence with respect to any payment obligations in this Rider. The headings in this Rider are for convenience only and shall not affect the interpretation of any provision.
