This Renewal Lease Notice (Notice) is issued pursuant to the existing Lease Agreement between the parties identified below and sets forth the terms on which the Landlord offers to renew the Lease for the Property described herein. TERMS, DEFAULTS, AND REMEDIES

Binding Effect: Upon Tenant's signature and delivery of this Notice within the Acceptance Deadline, this Notice constitutes an amendment and extension of the Lease for the Renewal Term set forth above. All obligations under the Lease shall continue during the Renewal Term except as expressly modified herein.

Condition Precedent: This renewal is expressly conditioned upon Tenant's timely execution and return of this Notice. Landlord's signature constitutes acceptance by Landlord; if Landlord fails to sign, no renewal shall occur.

Tenant Default: Failure by Tenant to comply with any material term of this Notice or the Lease during the Renewal Term shall constitute a default subject to remedies available under the Lease and applicable law, including termination and recovery of damages.

Holdover: If Tenant remains in possession after expiration of the Renewal Term without a new written agreement, Tenant shall be subject to holdover provisions of the Lease and applicable law, including increased rent as specified in the Lease.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Notice shall be governed by and construed in accordance with the laws of the state in which the Property is located.

Entire Agreement: This Notice, together with the Lease as modified herein, constitutes the entire agreement between the parties with respect to the Renewal Term and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter hereof.
