RENEWAL LICENSE AGREEMENT

This Renewal License Agreement ("Agreement") is made as of the Effective Date: , by and between Licensor: , a with principal place of business at and Licensee: , a with principal place of business at .

RECITALS

WHEREAS, Licensor is the owner of certain intellectual property and technology described as: (the "Licensed Materials");

WHEREAS, Licensor and Licensee previously entered into a License Agreement dated (the "Original Agreement");

WHEREAS, the parties wish to renew and amend certain terms of the Original Agreement on the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1. Capitalized terms used in this Agreement and not otherwise defined shall have the meanings ascribed to them in the Original Agreement. For the avoidance of doubt, "Renewal Term" means the period described in Section 2 below.

2. TERM AND RENEWAL

2.1. Renewal Term. The License granted under the Original Agreement is hereby renewed for an additional term of (the "Renewal Term"), commencing on the day after the expiration of the then-current term.

2.2. Automatic Renewal: Unless either party provides written notice of non-renewal delivered in accordance with Section 12 at least days prior to the expiration of the then-current term, the Agreement shall automatically renew for successive Renewal Terms on the same terms and conditions, except as otherwise modified in writing by the parties.

3. GRANT OF LICENSE

3.1. Grant. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a , limited license to use the Licensed Materials in the Territory described as: for the Field of Use: .

4. LICENSE FEES AND PAYMENT

4.1. Renewal Fee. In consideration for the Renewal Term, Licensee shall pay Licensor a renewal fee of payable in accordance with the following schedule:

4.2. Late Payment. Any overdue amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and Licensor may suspend Licensee's rights after thirty (30) days' written notice if payment remains unpaid.

5. REPORTS AND AUDIT

5.1. Reports. Licensee shall deliver to Licensor within thirty (30) days after the end of each reporting period a written report of use, sales and other metrics relevant to calculation of fees.

5.2. Audit Rights. Licensor shall have the right, not more than once per twelve (12) month period, to audit Licensee's relevant records upon reasonable prior written notice and during normal business hours. Any underpayment discovered by such audit shall be promptly paid by Licensee, together with interest as provided in Section 4.2; if underpayment exceeds , Licensee shall also reimburse Licensor's reasonable audit costs.

6. INTELLECTUAL PROPERTY; RESERVATION OF RIGHTS

6.1. Ownership. Licensor retains all right, title and interest in and to the Licensed Materials and all modifications, enhancements or derivatives thereof. Licensee acquires no ownership rights under this Agreement.

6.2. Feedback. Any suggestions or feedback provided by Licensee concerning the Licensed Materials shall be deemed Licensor's Confidential Information and assigned to Licensor upon disclosure.

7. CONFIDENTIALITY

Each party shall hold the other party's Confidential Information in confidence and shall not disclose such information except as permitted by the Original Agreement. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of years.

8. WARRANTIES AND DISCLAIMERS

8.1. Licensor Warranty. Licensor represents that it has the right to grant the license granted herein. Except as expressly set forth in this Agreement, the Licensed Materials are provided "AS IS" and Licensor expressly disclaims all other warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

9. INDEMNIFICATION; LIMITATION OF LIABILITY

9.1. Indemnification. Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims arising from its breach of this Agreement or its negligent or willful acts or omissions.

9.2. Limitation of Liability. Except for liability arising from willful misconduct, gross negligence, breach of confidentiality or indemnification obligations, neither party shall be liable for indirect, incidental, special or consequential damages, and each party's aggregate liability shall not exceed the amounts paid or payable by Licensee to Licensor under this Agreement during the twelve (12) months preceding the claim.

10. TERMINATION

10.1. Termination for Cause. Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any provision of this Agreement and such breach remains uncured thirty (30) days after receipt of written notice specifying the breach.

10.2. Effect of Termination. Upon termination or expiration, all rights granted to Licensee shall cease except as otherwise provided in the Original Agreement. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations and confidentiality obligations.

11. ASSIGNMENT

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets provided the assignee assumes the assigning party's obligations hereunder.

12. NOTICES

12.1. All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or at such other address as a party may designate by notice in accordance with this Section.

13. AMENDMENTS; WAIVER; COUNTERPARTS

13.1. Amendments. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

13.2. Waiver. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any other breach or of such provision.

13.3. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

14.2. Entire Agreement. This Agreement, together with the Original Agreement as amended hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings pertaining thereto.

14.3. Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a replacement provision that effects the original intent.

15. MISCELLANEOUS PROVISIONS

15.1. Compliance. Each party shall comply with all applicable laws and regulations in the performance of its obligations under this Agreement.

15.2. Relationship of the Parties. The parties are independent contractors and nothing in this Agreement shall create an agency, partnership, joint venture or employment relationship between them.
