RENEWAL PAYMENT AGREEMENT

This Renewal Payment Agreement (the Agreement) is entered into as of by and between:

Late Payment and Default

1. Late Fee. Payments not received within day(s) after the due date shall incur a late fee of $ or % of the overdue amount, whichever is greater.

2. Default. Client shall be in default if any installment remains unpaid for more than day(s) after written notice. Upon default, Creditor may declare the entire outstanding balance immediately due and payable and pursue all available remedies, including collection costs and reasonable attorney fees.

Prepayment

Client may prepay all or any part of the Principal at any time without penalty unless otherwise indicated below. Any prepayment shall be applied to outstanding interest and then to Principal.

Notices

All notices under this Agreement must be in writing and delivered to the addresses below by certified mail, overnight courier, or other delivery method that provides confirmation.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. Venue for any action arising out of this Agreement shall be in the state and federal courts located in that state.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
