WHEREAS

WHEREAS, Service Provider and Client are parties to an existing service agreement identified by Offer Number above and now wish to renew or extend certain services described below on the terms set forth herein; and

WHEREAS, Service Provider has presented this Renewal Service Offer to provide continued services for the Renewal Term described in this Offer, and Client desires to accept such Offer subject to the terms and conditions in this document.

Scope of Work

The Scope of Work constitutes the services to be provided during the Renewal Term. Service Provider shall perform the work with commercially reasonable skill and care in accordance with industry standards.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the services provided under this Offer. All fees are exclusive of taxes unless stated otherwise.

Late Payment Fee: Service Provider may charge interest on overdue amounts at the lesser of the rate of or the maximum rate permitted by applicable law, calculated from the due date until paid in full.

Term and Termination

Renewal Term: This Offer shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Offer for convenience upon days' prior written notice to the other party. Termination for material breach shall be effective immediately upon written notice if the breach is not cured within 15 days after receipt of notice, or immediately if the breach cannot be cured.

Confidentiality

Each party (the "Receiving Party") shall maintain in confidence all non-public information disclosed by the other party (the "Disclosing Party") in connection with this Offer and shall not use or disclose such information except to perform obligations under this Offer. Confidential information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Offer; (b) was lawfully received from a third party without obligation of confidentiality; or (c) is independently developed without use of the Disclosing Party's confidential information.

The Receiving Party may disclose Confidential Information to the extent required by law or regulation, provided that, to the extent permitted, the Receiving Party gives prompt written notice to the Disclosing Party and cooperates in any lawful efforts to limit disclosure. The obligations in this section survive for five (5) years following termination or expiration of this Offer.

Representations; Remedies

Each party represents that it has full power and authority to enter into this Offer and to perform its obligations hereunder. Except as expressly set forth herein, each party disclaims all warranties, express or implied. The parties agree that monetary damages may be inadequate to remedy a material breach of the confidentiality obligations and that injunctive relief may be sought in addition to any other remedies.

Governing Law; Dispute Resolution

This Offer shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflicts of law principles. The parties agree to use good faith efforts to resolve disputes promptly and amicably; if resolution cannot be reached, disputes shall be resolved by the exclusive jurisdiction of the courts located in the chosen jurisdiction.

Entire Agreement

This Offer, including any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. No amendment to this Offer is effective unless made in writing and signed by authorized representatives of both parties.

Acceptance

By signing below, Client accepts this Renewal Service Offer in full and authorizes Service Provider to commence work as of the Effective Date. The parties acknowledge that electronic signatures or scanned signatures are intended to have the same force and effect as original signatures.
