Term, Termination & Remedies

Confidentiality

Each party shall hold in confidence the other's nonpublic information disclosed in connection with this Proposal and shall not disclose such information to third parties except as required by law or as reasonably necessary to perform the Work. Confidential information does not include information that is or becomes publicly known through no breach by the receiving party.

Contractor shall not use Client information for any purpose other than performance of the Work and shall require subcontractors to observe confidentiality obligations consistent with this provision.

Insurance, Permits & Warranties

Contractor warrants that work performed will be of good workmanship and materials for a period of months from completion, except for manufacturer warranties for installed products. Contractor shall maintain general liability and workers' compensation insurance as required by law and provide certificates upon request.

Governing Law; Dispute Resolution

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall first attempt to resolve disputes in good faith. If unresolved, disputes shall be resolved by litigation in the appropriate court located in the county of the Project Address.

Entire Agreement; Amendments

This Proposal constitutes the entire agreement between Client and Contractor with respect to the subject matter herein and supersedes all prior proposals, representations and understandings. No amendment shall be binding unless in writing and signed by both parties.
