RENOVATION SIGN OFF AGREEMENT

This Renovation Sign Off Agreement ("Agreement") is entered into on by and between Client Name: whose address for notices is and Contractor Name: whose address for notices is .

RECITALS

WHEREAS, Client contracted Contractor to perform renovation, repair and related construction work at the property located at (the "Property");

WHEREAS, Contractor represents that the renovation work described in the scope below (the "Work") has been completed in substantial compliance with the contract documents and applicable laws, subject to the terms of this Agreement;

WHEREAS, the parties desire to establish the conditions under which Client will accept the Work, authorize final payment, and release any claims or liens upon payment as set forth herein.

NOW THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SCOPE OF WORK

1.1 Contractor certifies that the Work described below has been completed in accordance with the contract documents, permits and applicable building codes. A detailed description of the Work completed is provided below and in any attachments.

2. ACCEPTANCE CRITERIA AND FINAL INSPECTION

2.1 Client shall inspect the Work within days of the date of this Agreement or of Contractor's notice of completion, whichever is later. Acceptance will be evidenced by Client's signature below or by written notice of acceptance to Contractor.

3. DEFECTS, CORRECTION PERIOD AND WARRANTIES

3.1 Contractor warrants that the Work is free from defects in workmanship and materials for a period of beginning on the date of final acceptance. Contractor shall, at its expense, promptly correct any defects reported in writing during the warranty period.

4. FINAL PAYMENT, RELEASE OF CLAIMS AND LIENS

4.1 Upon Client's acceptance of the Work, Client shall pay Contractor the remaining balance of due under the underlying contract, subject to any agreed retainage or set-offs for known defects.

4.2 Upon receipt of final payment, Contractor shall deliver a written release of all claims and labor and material liens related to the Work and shall warrant that no subcontractors or suppliers have unpaid claims that could give rise to liens.

5. INDEMNIFICATION AND INSURANCE

5.1 Contractor shall indemnify, defend and hold harmless Client and Client's agents from and against all claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of Contractor's performance of the Work, except to the extent caused by Client's gross negligence or willful misconduct.

5.2 Contractor shall maintain and provide evidence of commercial general liability insurance, workers' compensation and automobile liability insurance sufficient to cover liabilities arising from the Work. Contractor shall provide certificates of insurance upon Client's request prior to final payment.

6. CHANGES TO WORK

6.1 Any changes to the Scope of Work, including changes to price or schedule, shall be made only by a written change order signed by authorized representatives of both parties. Contractor shall not be entitled to payment for work performed outside the Scope absent such a change order.

7. LIENS AND THIRD-PARTY CLAIMS

7.1 Contractor shall promptly pay all subcontractors and suppliers and shall promptly discharge or bond off any liens. Contractor shall defend Client against any third-party claims related to unpaid obligations for the Work and shall indemnify Client for amounts paid to resolve such claims plus attorneys' fees.

8. NOTICES

8.1 All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed below by hand delivery, nationally recognized overnight courier, or certified mail (return receipt requested), and shall be effective upon receipt.

9. GOVERNING LAW; VENUE

9.1 This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Venue for any action arising out of this Agreement shall be in the state or federal courts located in the county where the Property is located.

10. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENTS; WAIVER

10.1 This Agreement, together with any incorporated exhibits or change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements.

10.2 If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

10.3 No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any other breach.

11. COUNTERPARTS

11.1 This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. A facsimile or electronic copy of a signature shall be treated as an original signature.
