RENTAL ACCOMMODATION AGREEMENT

This Rental Accommodation Agreement (the Agreement) is made effective as of between the undersigned parties.

Confidentiality

Each party shall maintain as confidential any non-public financial, personal or proprietary information disclosed in connection with this Agreement, and shall not disclose such information to any third party except as required by law or as necessary to perform obligations under this Agreement. Confidential information does not include information that is or becomes publicly available without breach of this Agreement.

Default and Remedies

Failure by Tenant to pay rent or to perform any material obligation constitutes a default. On default, Landlord may pursue any remedies available at law or in equity, including termination of tenancy, recovery of damages, and recovery of costs and attorneys' fees where permitted by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any attachments or addenda signed by the parties, constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings and agreements relating to the subject matter. No amendment shall be effective unless in writing and signed by both parties.
