RENTAL ACCORD

Recitals

WHEREAS, Lessor Name: is the lawful owner of the property or item described below; and

WHEREAS, Lessee Name: desires to rent such property or item under the terms set forth herein; and

WHEREAS, the parties agree that the relationship is contractual and governed by the terms and conditions of this Rental Accord.

The Lessor grants to the Lessee a revocable right to possess and use the described property solely for the purposes set forth below and subject to the conditions of this Rental Accord. The Lessee shall not permit any use that materially increases risk of damage, creates nuisance, or violates law.

Confidentiality

Each party shall maintain in confidence all non-public business information obtained from the other party in connection with this Accord that is identified as confidential or that should reasonably be considered confidential. Confidential information does not include information that (a) is or becomes publicly known other than by breach of this clause, (b) is rightfully received from a third party without restriction, or (c) is independently developed without use of the other party’s confidential information. The obligations of confidentiality survive termination for a period of three (3) years.

Liability and Insurance

Lessee shall be solely responsible for damage to property and third-party claims arising out of Lessee’s use, except to the extent caused by Lessor’s gross negligence or willful misconduct. Lessee shall maintain insurance in sufficient amounts to cover liability and damage, and shall provide proof of insurance upon Lessor’s request.

Governing Law

This Rental Accord is governed by and construed in accordance with the laws of the State of without regard to its conflict of laws provisions.

Entire Agreement; Amendments

This Rental Accord constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. Any amendment or waiver must be in writing and signed by both parties to be binding.
