WHEREAS, Tenant desires to lease the Premises from Landlord and Landlord desires to lease the Premises to Tenant upon the terms and conditions set forth in this Rental Agreement Packet; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows.

Either party may terminate this Agreement prior to the expiration date upon written notice in accordance with the notice period above. Early termination by Tenant may be subject to liquidated damages or an early termination fee as set forth herein.

Rent shall be payable to Landlord at the address set forth above or by electronic payment if agreed in writing. If Rent is not received by Landlord within days after the due date, Tenant shall be in default and a late fee shall apply.

Security Deposit

The security deposit shall be held by Landlord as security for Tenant's performance of obligations. Deductions for repairs, unpaid rent, and other permitted charges will be itemized and provided to Tenant within the time required by applicable law.

Maintenance, Repairs, and Alterations

Tenant shall not make structural alterations or significant improvements without Landlord's prior written consent. Cosmetic or non-structural alterations permitted by Landlord shall be performed at Tenant's expense and may require removal or remediation upon lease termination.

Insurance and Indemnity

Tenant shall maintain liability insurance with coverage limits of not less than and shall name Landlord as an additional insured where applicable. Evidence of insurance must be delivered to Landlord prior to occupancy and upon renewal.

Tenant shall indemnify, defend, and hold harmless Landlord from any claims arising out of Tenant's use or occupancy of the Premises except to the extent such claims arise from Landlord's gross negligence or willful misconduct.

Landlord Entry and Access

Landlord may enter the Premises in case of emergency or to make necessary repairs, inspections, or to show the Premises to prospective tenants or purchasers. Except in emergencies, Landlord will provide Tenant with days' prior notice of intended entry where practicable and allowed by law.

Default and Remedies

If Tenant fails to pay rent or otherwise breaches this Agreement, Landlord shall have all remedies available at law or in equity, including but not limited to termination of tenancy, recovery of damages, and recovery of reasonable attorneys' fees and costs incurred in connection with enforcement of this Agreement to the extent permitted by law.

Confidentiality

The parties acknowledge that certain information exchanged under this Agreement may be proprietary or confidential. Each party agrees to keep confidential and not disclose to third parties any non-public financial, technical or business information of the other party disclosed in connection with this Agreement, except as required by law or to enforce the parties' rights under this Agreement. Confidential information shall not include information that is or becomes publicly available through no breach of this provision.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Rental Agreement Packet, together with any attachments or addenda executed by the parties, constitutes the entire agreement between Landlord and Tenant with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach of this Agreement shall be deemed a waiver of any subsequent breach.
