RENTAL AGREEMENT TERMS

PAYMENT TERMS

Rent is payable in advance on or before the day of each month. Payments shall be made to Lessor at the address for notices or by such other method as Lessor designates in writing.

Late Payment: If rent is not received by the close of business on the fifth (5th) day after the due date, Lessee shall pay a late fee of plus interest at a rate of per annum on the overdue amount, calculated daily until paid in full.

Either party may terminate this Agreement for convenience upon giving the other party at least days' prior written notice. Termination for material default by either party shall be governed by the Default clause below and shall permit the non-defaulting party to exercise all remedies available at law or in equity.

USE, MAINTENANCE AND REPAIRS

Lessee shall, at Lessee's sole cost and expense, keep the Premises in good repair and condition consistent with ordinary wear and tear. Lessor shall be responsible for structural repairs unless damage results from Lessee's negligence or misuse. Lessee shall promptly notify Lessor of any condition requiring repair.

ALTERATIONS, ASSIGNMENT AND SUBLETTING

Lessee shall not make any structural alterations, additions, or improvements to the Premises without Lessor's prior written consent, which shall not be unreasonably withheld. Assignment or subletting of the Premises is:

CONFIDENTIALITY

Each party shall keep confidential all non-public business information and proprietary disclosures of the other party obtained in connection with this Agreement, including financial terms and business operations, and shall not disclose such information to any third party except to advisors or as required by law. This obligation shall survive termination of this Agreement for a period of years.

DEFAULT AND REMEDIES

A material default by Lessee includes failure to pay rent when due, abandonment of the Premises, or material breach of Lessee's obligations. Upon material default, Lessor shall provide written notice specifying the breach and a reasonable opportunity to cure. If Lessee fails to cure within the time permitted, Lessor may pursue any remedies available at law or equity, including termination, recovery of damages, and recovery of costs and attorneys' fees incurred in enforcing this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Notices shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or mailed by certified mail, return receipt requested, to the addresses set forth above or such other address as a party designates in writing.

ENTIRE AGREEMENT

This Agreement, together with any written attachments or addenda executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and representations, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both Parties.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The Parties agree that monetary damages may be inadequate to remedy certain breaches and that either party may seek injunctive relief in addition to other remedies.
