Landlord will hold the deposit in accordance with applicable law. If required by law, the deposit will be held in a trust or interest-bearing account and any interest will be handled in accordance with applicable law and the terms of this Agreement.

Conditions for Use and Return of Deposit

The deposit may be applied by Landlord only for: unpaid rent; repair of damages beyond normal wear and tear; reasonable cleaning costs required to return the Property to the condition that existed at commencement of the tenancy (excluding ordinary wear and tear); unpaid utilities or other sums due under the lease; and replacement of lost keys or other costs specifically authorized by written lease agreement.

If any portion of the deposit is retained, Landlord shall provide Tenant with an itemized written statement of the reasons for the retention together with any remaining balance within the time period required by applicable law.

Default, Remedies and Mitigation

If Tenant defaults under the lease, Landlord may apply the deposit to cure defaults, including unpaid rent and costs of re-letting. Application of the deposit does not limit Landlord's right to seek additional damages or to pursue any other remedy available at law or in equity. Tenant shall not be relieved of liability for amounts exceeding the deposit.

Landlord agrees to mitigate damages and to act in good faith when determining allowable deductions from the deposit.

Notices and Accounting

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth herein or to any other address provided in writing by a party. Landlord will provide an accounting of any deductions along with any refundable balance in the time required by applicable law.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. The parties agree that any claim relating to the deposit shall be resolved in the appropriate forum and according to applicable procedural rules.

This Agreement constitutes the entire agreement between the parties with respect to the deposit and supersedes all prior negotiations and agreements, whether written or oral, concerning the deposit. Any modification to this Agreement must be made in writing and signed by both parties.
