8. DEFAULT, REMEDIES, AND LIQUIDATED DAMAGES

If Tenant fails to timely execute the lease by the Reservation Expiration Date or otherwise fails to satisfy the conditions set forth in Section 4, Landlord may retain the Reservation Fee as liquidated damages and not as a penalty, which the parties agree reasonably approximates Landlord's damages resulting from loss of rental opportunity, administrative costs and lost market time.

If Landlord withdraws the unit from availability or fails to deliver the unit as represented, Landlord shall return the Reservation Fee to Tenant and, at Tenant's election, the parties may treat this Reservation as null and void.

The parties acknowledge that, except as explicitly stated in this Reservation, neither party has an obligation to lease or to rent the Property until a formal written Lease is fully executed by both parties.

9. MISCELLANEOUS

Governing Law: This Reservation shall be governed by the laws of the state in which the Property is located. Venue for any dispute arising under this Reservation shall lie in the appropriate court in that state.

Entire Agreement: This Reservation constitutes the entire agreement between the parties regarding the reservation of the Property and supersedes all prior negotiations and representations, whether oral or written. Any amendment to this Reservation must be in writing and signed by both parties.

Certification: Tenant certifies that the information provided to Landlord in connection with this Reservation is true and correct. False statements or omissions are grounds for denial of the application and retention of the Reservation Fee to the extent permitted by law.
