Recitals

WHEREAS, Owner is the lawful owner of the property, equipment, or other rental item described as (the "Rental Property"); and

WHEREAS, Renter desires to rent the Rental Property from Owner for the limited purpose and period set forth in this Rental Liability Waiver and to assume certain risks and obligations in connection with such rental; and

WHEREAS, Owner and Renter wish to set forth the terms, payment, release, indemnity, confidentiality and other conditions governing the rental and allocation of liability.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Owner may also terminate immediately for loss, damage or illegal use of the Rental Property.

Waiver of Liability; Assumption of Risk

To the fullest extent permitted by law, Renter releases, waives and discharges Owner and its agents, employees and affiliates from any and all liability, claims, demands or causes of action arising out of or related to Renter's use, possession, operation, transport, or custody of the Rental Property, including but not limited to claims for personal injury, death, property damage, or economic loss, whether caused by the negligence of Owner or otherwise. Renter acknowledges that use of the Rental Property may involve inherent risks, and Renter voluntarily assumes all such risks.

Renter further agrees to operate and maintain the Rental Property in accordance with any operating manuals, instructions, warnings and all applicable laws and regulations. Renter shall ensure that only competent and authorized persons operate the Rental Property.

Indemnification

Renter shall indemnify, defend and hold harmless Owner and its agents, employees and affiliates from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Renter's use, maintenance, operation, storage, transport or repair of the Rental Property, except to the extent caused by Owner's gross negligence or willful misconduct.

Confidentiality

Each party shall keep confidential and not disclose to any third party any non-public information, trade secrets or proprietary information of the other party disclosed in connection with this Agreement, except as required by law. Confidential information does not include information that (i) is or becomes publicly available through no breach of this Agreement; (ii) is rightfully received from a third party without obligation of confidentiality; or (iii) is independently developed without use of the other party's confidential information.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that state for any dispute arising out of this Agreement.

Entire Agreement; Miscellaneous

This Agreement, including any schedules or attachments expressly incorporated, constitutes the entire agreement between the parties with respect to the rental of the Rental Property and supersedes all prior and contemporaneous agreements, understandings, negotiations and representations, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions enforced. No waiver of any breach of this Agreement shall constitute a waiver of any other breach.

Insurance and Risk Allocation

Renter shall, at its expense, procure and maintain insurance sufficient to cover liability and property damage arising out of the use of the Rental Property, including commercial general liability and, where appropriate, physical damage insurance covering the Rental Property. Renter shall provide proof of such insurance upon request.
