Guarantee Terms

For good and valuable consideration, the Guarantor unconditionally guarantees to Landlord the prompt payment by Tenant of Rent and other monetary obligations under the Lease for the period beginning and continuing until .

The Guarantor guarantees payment of all Rent, late charges, returned check fees, and other monetary obligations arising under the Lease. Upon Tenant's failure to pay Rent within days after written demand by Landlord, Guarantor shall pay such amounts to Landlord within days of receipt of demand.

Scope, Waivers and Remedies

This guarantee is continuing, absolute, and unconditional. Guarantor waives notice of acceptance, notice of default, presentment, demand for performance, protest or any requirement that Landlord pursue any remedy against Tenant or any other person or entity prior to seeking payment from Guarantor. Guarantor expressly waives any right of subrogation against Tenant until all obligations of Tenant under the Lease are indefeasibly satisfied.

Notices

All notices required or permitted under this Guarantee shall be in writing and delivered to the notice addresses below. Notices are effective upon delivery or, if mailed, three business days after deposit in the mail.

Costs, Attorney Fees, and Governing Law

If Landlord enforces this Guarantee by judicial proceedings or otherwise, Guarantor shall reimburse Landlord for reasonable attorneys' fees, court costs, and other collection expenses. This Guarantee shall be governed by and construed in accordance with the laws of the state designated below.

Representations and Warranties

Guarantor represents and warrants that Guarantor has full power and authority to enter into this Guarantee, that no consent or authorization of any other person is required, and that this Guarantee constitutes a legal, valid, and binding obligation enforceable in accordance with its terms.

Termination and Revocation

This Guarantee may not be revoked by Guarantor as to obligations which arise prior to the expiration of any notice or cure period set forth in the Lease. Any attempted revocation shall be ineffective as to obligations incurred prior to actual receipt by Landlord of written notice of revocation.

Certification

The undersigned Guarantor certifies that the statements contained in this Guarantee are true and correct to the best of Guarantor's knowledge, and acknowledges that Landlord may rely upon such statements in accepting this Guarantee. Guarantor further acknowledges receipt of a copy of the Lease and authorizes Landlord to disclose to Guarantor any tenant defaults.
