Licensee shall maintain the Licensed Area in a clean and safe condition and shall promptly repair any damage caused by Licensee or Licensee's invitees. Licensor retains the right to enter the Licensed Area upon reasonable notice for inspection, repair, or to show the Property to prospective purchasers or tenants, except in emergencies when no notice is required.

INSURANCE AND INDEMNITY

Licensee shall procure and maintain, at Licensee's expense, general liability insurance in amounts sufficient to protect Licensor from claims arising out of Licensee's use of the Licensed Area. Licensee shall indemnify, defend and hold harmless Licensor from any claims, losses, liabilities or expenses arising from Licensee's use of the Licensed Area, except to the extent caused by Licensor's gross negligence or willful misconduct.

COMPLIANCE WITH LAWS

Licensee shall at its sole expense comply with all applicable laws, ordinances, regulations and building codes in connection with Licensee's use of the Licensed Area. Licensee shall obtain all permits or approvals required for its permitted use.

CONFIDENTIALITY

Each party shall keep confidential all non-public business or technical information disclosed by the other party and identified at the time of disclosure as confidential, provided that information that is publicly known, rightfully received from a third party, or independently developed is excluded. Confidential information shall be used only for the purposes of performing under this License.

ASSIGNMENT

Licensee may not assign or sublicense this License or any interest herein without Licensor's prior written consent, which consent shall not be unreasonably withheld for assignments to affiliates or successors in interest. Licensor may assign this License provided the assignee assumes Licensor's obligations hereunder.

NOTICES

Any notice required or permitted under this License shall be in writing and delivered to the addresses below by personal delivery, certified mail, or overnight courier, and shall be effective upon receipt.

GOVERNING LAW

This License shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT
