RECITALS

WHEREAS, Landlord and Tenant entered into a written lease for the Property identified above on (Lease Commencement Date) and the parties desire to confirm the release terms set forth in this Rental Release Form;

WHEREAS, Tenant has agreed to vacate the Property and to perform certain obligations described herein and Landlord has agreed to accept specified consideration and to release Tenant from further lease obligations as provided in this Agreement; and

WHEREAS, the parties intend that this Rental Release Form set forth the full terms of the release, disposition of security deposit, and related covenants between the parties.

CONSIDERATION AND PAYMENT TERMS

SECURITY DEPOSIT & MOVE-OUT CONDITION

Condition at Move-Out: Tenant represents that, except for ordinary wear and tear, the Property will be surrendered in broom-clean condition and in substantially the same condition as at Lease Commencement Date, subject to any agreed repairs or allowances set forth in this form.

TERM AND TERMINATION

RELEASE, INDEMNITY, AND LIABILITY

Release: Upon receipt of the consideration set forth above and compliance by Tenant with the obligations in this document, Landlord shall release and forever discharge Tenant from all claims, demands, and causes of action arising from the Lease and Tenant's occupancy through the Effective Date of Release, except for claims arising from Tenant's fraud, willful misconduct, or obligations expressly surviving this release.

Indemnification: Tenant shall indemnify and hold harmless Landlord for any claims, costs, or liabilities arising from Tenant's breach of this Agreement, negligent acts or omissions, or failure to vacate and surrender the Property in accordance with the terms hereof. Landlord similarly shall indemnify Tenant for claims arising from Landlord's breach or willful misconduct.

CONFIDENTIALITY

The parties agree that the terms, amounts, and specific provisions of this Rental Release Form are confidential and will not be disclosed to third parties except as required by law or as necessary to enforce this Agreement. Notwithstanding the foregoing, disclosures to attorneys, accountants, or lenders subject to similar confidentiality obligations are permitted.

GOVERNING LAW; ENTIRE AGREEMENT

This Rental Release Form shall be governed by and construed in accordance with the laws of the state specified above without regard to conflict-of-law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

REPRESENTATIONS; SURVIVAL

Each party represents and warrants that it has full authority to enter into this Agreement and that its execution and performance will not violate any other agreement. Provisions of this Agreement that by their nature should survive termination or expiration shall so survive, including but not limited to indemnification, confidentiality, and dispute resolution provisions.
