RENTAL ROOMS AGREEMENT

This Rental Rooms Agreement ("Agreement") is entered into on this day of , , by and between Landlord Name: and Tenant Name: .

RECITALS

WHEREAS, Landlord is the lawful owner or authorized manager of the dwelling and related premises located at (the "Premises"); and

WHEREAS, Tenant desires to rent a private room within the Premises on the terms and conditions set forth in this Agreement; and

PAYMENT TERMS

Tenant acknowledges that if any rent or other sum due under this Agreement is not received by Landlord within days after the due date, Tenant will be assessed the late fee stated above. Late sums may accrue interest at the maximum rate permitted by law until paid.

TERM AND TERMINATION

Term: This Agreement commences on day of , and continues until day of , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for cause upon written notice describing the breach and providing the non-breaching party the notice period above to cure, if curable. Irreparable breaches may permit immediate termination and pursuit of remedies.

USE, MAINTENANCE AND HOUSE RULES

Use: The room is for residential use only by the Tenant and approved guests. Tenant shall comply with reasonable house rules established by Landlord, which are incorporated herein and may be amended upon notice.

Tenant will keep the room and common areas used by Tenant in a clean and sanitary condition and will promptly notify Landlord of any condition that may cause damage or danger. Landlord will maintain major structural elements and major systems in good repair.

CONFIDENTIALITY

Each party shall maintain the confidentiality of the other party's proprietary business information and personal data obtained in the course of performance under this Agreement, and shall not disclose such information to third parties except as required by law or with prior written consent. Confidential information does not include information that is or becomes public through no breach by the receiving party.

INSURANCE, INDEMNITY AND LIABILITY

Tenant is encouraged to obtain renter's insurance covering Tenant's personal property and liability. Tenant shall indemnify and hold Landlord harmless from any claims, liabilities or damages arising from Tenant's negligent acts or omissions, except to the extent caused by Landlord's gross negligence or willful misconduct.

ASSIGNMENT AND SUBLETTING

Tenant shall not assign this Agreement or sublet the room in whole or in part without Landlord's prior written consent, which shall not be unreasonably withheld. Any permitted assignee or subtenant shall be bound by the terms of this Agreement.

DEFAULT AND REMEDIES

In the event of Tenant's default in payment or breach of any material term, Landlord may pursue all remedies available at law or in equity, including termination of tenancy, recovery of possession, rent arrears, costs and attorneys' fees where permitted by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written house rules or addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings and agreements, oral or written. No amendment shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses below or to such other address as either party may designate in writing.
