Payment Terms

The Lessee shall pay the Lessor the rental amounts set forth below in consideration for the rental of the items described herein.

All amounts payable under this Rental Schedule are exclusive of taxes. Lessee is responsible for applicable sales, use, excise or similar taxes unless Lessee provides a valid exemption certificate prior to invoicing.

Term and Termination

The term of this Rental Schedule shall commence on: and shall expire on: unless earlier terminated in accordance with this section.

Either party may terminate this Rental Schedule for convenience upon days' prior written notice to the other party.

Termination for cause: If either party materially breaches any term of this Rental Schedule or the Master Agreement and such breach is not cured within days after written notice, the non-breaching party may terminate immediately and seek all remedies available at law or equity.

Confidentiality

Each party agrees to hold confidential and not disclose to any third party any non-public information received from the other party in connection with this Rental Schedule ("Confidential Information"), except as required by law or with the prior written consent of the disclosing party. Confidential Information does not include information that is (a) publicly known through no breach of obligation; (b) rightfully received from a third party without restriction; or (c) independently developed without use of the other party's Confidential Information.

Risk, Title, Insurance and Maintenance

Risk of loss or damage to the rented items shall pass to Lessee upon delivery. Title to the rented items remains with Lessor. Lessee shall, at its expense, maintain insurance covering loss, theft, damage and liability in amounts customary for the industry and name Lessor as additional insured and loss payee as required by Lessor.

Governing Law

This Rental Schedule shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Rental Schedule, together with the referenced Master Agreement and any attachments or addenda expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations and agreements, whether written or oral.

No amendment to this Rental Schedule shall be effective unless made in writing and signed by authorized representatives of both parties.
