Renter Transfer Agreement

This Renter Transfer Agreement ("Agreement") is made between the parties set forth below for the transfer of the rights and obligations under the existing lease for the Property described herein.

Parties and Property

WHEREAS

WHEREAS, Assignor is currently the tenant under a written lease for the Property entered into on , (the "Original Lease");

WHEREAS, Assignor desires to transfer and assign to Assignee all of Assignor's right, title and interest in and to the Original Lease and Assignee desires to accept such assignment and to assume the obligations of Assignor thereunder, subject to the terms of this Agreement and the consent of the landlord where required; and

WHEREAS, the parties intend by this Agreement to set forth the terms and conditions of that transfer and assignment effective as provided below.

Scope of Transfer

The parties agree that the scope of the transfer shall be as described below. The Assignee accepts the transfer of rights and undertakes the obligations set forth in the Original Lease to the extent described.

Payment Terms

In consideration for the transfer described herein, Assignee agrees to pay Assignor the transfer fee and other sums as set forth below.

All payments due to Assignor from Assignee under this Agreement shall be made in cleared funds to the account or address designated in writing by Assignor. Failure to pay when due shall constitute a breach and entitle Assignor to pursue all remedies available at law or equity, including collection of late fees and costs of collection.

Term and Termination

This transfer shall become effective on , (the "Effective Date").

Except as otherwise provided in this Agreement or required by the Original Lease, the parties may terminate this Agreement for material breach following written notice and a cure period equal to the notice period stated above. Confidentiality

Each party shall hold confidential and shall not disclose to any third party any non-public proprietary or financial information of the other party obtained in connection with this Agreement, except as required by law or to enforce rights under this Agreement. This confidentiality obligation survives termination of this Agreement for a period of two years.

Representations; Indemnification

Each party represents and warrants that it has full authority to enter into this Agreement and that performance will not violate any agreement or obligation to a third party. Assignee agrees to indemnify, defend and hold harmless Assignor from and against any liabilities, claims, losses, or expenses arising from Assignee's failure to perform obligations under the Original Lease from and after the Effective Date.

Landlord Consent

This Agreement is subject to landlord consent where required by the Original Lease or applicable law. Neither Assignor nor Assignee shall hold the other liable for termination of the Original Lease or refusal of landlord consent; however, the parties shall cooperate in good faith to obtain such consent.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with the Original Lease as modified by this Agreement and any written consents or amendments, constitutes the entire agreement between Assignor and Assignee with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. No amendment to this Agreement will be effective unless in writing and signed by both parties.

Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith a substitute provision that most nearly reflects the parties' original intent.

Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic or scanned signatures shall be deemed original signatures for all purposes.
