WHEREAS, Contractor represents that it has the experience, skill, personnel and licenses necessary to perform the work described in this Repair Plan; and

WHEREAS, the parties desire to set forth the scope, schedule, payment terms and other terms governing the performance of the repairs.

Either party may terminate this Repair Plan for cause upon material breach by the other party that remains uncured for following written notice. For convenience, either party may terminate upon prior written notice.

Change Orders

All modifications to the Scope of Work shall be made by written change order signed by both parties. Change orders shall specify the change in work, any adjustment in the Contract Price, and any adjustment to the schedule. Contractor shall not be obligated to commence changed work absent an executed change order.

Confidentiality

Each party shall hold in confidence and not disclose or use any Confidential Information of the other party except as necessary to perform obligations under this Repair Plan. Confidential Information does not include information that is or becomes generally available to the public through no breach by the receiving party, or information lawfully obtained from a third party without restriction.

Warranties and Remedies

Contractor warrants that repairs will be performed in a workmanlike manner consistent with industry standards. The foregoing warranty period is limited to from completion. Client's exclusive remedy for breach of this warranty is Contractor's correction of defective work or, if Contractor fails to correct, a refund of amounts paid for the defective portion.

Insurance and Licenses

Contractor shall maintain insurance customary for the trade and appropriate to the scope of work, and shall maintain all licenses required by law. Upon request Client may receive certificates of insurance and license information prior to commencement of work.

Governing Law

This Repair Plan shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement; Severability

This Repair Plan, together with any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. If any provision is declared invalid or unenforceable, the remaining provisions remain in full force and effect.

Dispute Resolution

The parties shall attempt in good faith to resolve disputes arising under this Repair Plan through negotiation. If negotiation fails, disputes shall be resolved by binding arbitration conducted in accordance with the arbitration rules agreed by the parties and held in the county where the Project Location is situated, unless otherwise agreed in writing.

Notices

Notices required or permitted under this Repair Plan shall be in writing and delivered to the addresses set forth above by certified mail, courier, or email where acknowledged in writing. Notice is effective upon receipt.
