REPAIR SERVICE CONTRACT

This Repair Service Contract ("Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Client requires repair services described in this Agreement for the property or equipment set forth herein; and

WHEREAS, Service Provider represents that it possesses the necessary qualifications, licenses, personnel and equipment to perform the repair services in a competent and professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform the repairs and Client will pay for such services.

SCOPE OF WORK

Service Provider shall perform the repair work described below in a good and workmanlike manner and in accordance with industry standards. All materials furnished by Service Provider shall be new unless otherwise agreed in writing.

PAYMENT TERMS

Client agrees to pay Service Provider the fees and charges set out below in consideration for the Scope of Work.

Late Fee: If any payment is not received within days after its due date, Client shall pay a late fee of % per month on the overdue balance, and/or a flat fee of .

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until completion of the Scope of Work unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon delivering written notice at least days prior to termination. Either party may terminate immediately for material breach if the breaching party fails to cure within 10 days of written notice of such breach.

CHANGE ORDERS

Any changes to the Scope of Work shall be made only by written Change Order signed by both parties, including a description of changes, any adjustment to the Contract Amount, and any change to the completion schedule.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement and shall not use such information except to perform its obligations hereunder. Confidential information does not include information that is or becomes publicly available without breach of this Agreement, or is independently developed by the receiving party.

WARRANTY AND LIABILITY

Service Provider warrants that all labor provided under this Agreement shall be performed in a competent and workmanlike manner for a period of days from completion. This warranty does not apply to defects caused by misuse, abuse, or modification by Client.

Except for liability arising from gross negligence or willful misconduct, each party's total aggregate liability for any claim arising out of this Agreement shall not exceed the total Contract Amount paid by Client to Service Provider under this Agreement.

INSURANCE; PERMITS; ACCESS

Service Provider shall maintain at its expense commercial general liability insurance and workers' compensation insurance as applicable. Client shall provide access to the premises and obtain any permits or approvals required for completion of the work unless otherwise agreed in writing.

DISPUTE RESOLUTION; GOVERNING LAW

The parties shall attempt to resolve disputes in good faith by negotiation. If unresolved, disputes shall be submitted to non-binding mediation prior to any litigation. This Agreement shall be governed by and construed in accordance with the laws of the State of , excluding its conflicts of law rules.

ENTIRE AGREEMENT

This Agreement, including all exhibits and signed Change Orders, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter hereof. No amendment shall be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above, or to such other address as either party may designate in writing.
