REPAIR SERVICE AGREEMENT — LADDER REPAIR

This Repair Service Agreement (the Agreement) is entered into on between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client owns or controls one or more ladders requiring repair services and desires the services of Contractor to inspect, repair, and restore safe operation of those ladders; and

WHEREAS, Contractor represents that it is duly qualified, experienced, and appropriately insured to perform ladder repair and related services in accordance with applicable industry standards and manufacturer recommendations; and

WHEREAS, the parties wish to set forth their respective obligations, payment terms, warranties, and liabilities with respect to the repair services to be provided under this Agreement.

SCOPE OF WORK

Contractor shall perform inspection, repair, testing and final verification of the ladder(s) described below and such ancillary services as are reasonably necessary to return the ladder(s) to safe working condition in accordance with recognized trade practices (the Services). The Services include labor, diagnostic testing, replacement of defective components, and functional testing unless excluded by written agreement.

MATERIALS, PARTS, AND LABOR

Contractor will supply the materials and parts specifically identified in the estimate below. Contractor shall use new or industry-acceptable reconditioned parts unless otherwise agreed in writing. All parts and materials remain the property of Client once paid in full.

PAYMENT TERMS

Client shall pay Contractor the fees set forth in this Agreement in accordance with the following terms.

Late payments incur a late fee of on outstanding balances, compounded monthly, plus the Contractor's reasonable collection costs including attorneys' fees.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until Completion Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for days after written notice. Contractor may suspend Services immediately if Client fails to make timely payment after ten (10) days' written notice.

WARRANTY AND ACCEPTANCE

Contractor warrants that repairs performed by Contractor will be free from defects in workmanship under normal use for a period of from completion. This warranty does not cover damage due to misuse, modification, abuse, ordinary wear and tear, or acts of third parties. Any warranty claim must be submitted in writing and allow Contractor reasonable opportunity to inspect and, if warranted, remedy the defect.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with the Services, including but not limited to repair reports, pricing, and equipment condition. Confidential information shall not include information that is or becomes generally available to the public other than through a breach of this Agreement or was lawfully known to the receiving party prior to disclosure.

INSURANCE; INDEMNITY

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law for the duration of this Agreement. Contractor agrees to indemnify and hold harmless Client from claims arising out of Contractor's negligent performance, excluding claims arising from Client's gross negligence or willful misconduct. Client shall promptly notify Contractor of any claim and provide reasonable cooperation in defense.

SAFETY AND COMPLIANCE

Contractor shall perform Services in a safe and workmanlike manner and in compliance with applicable safety standards and regulations. Contractor shall promptly advise Client of any condition that compromises safe operation of the ladder and shall not continue work until hazards are mitigated or Client provides written direction to proceed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any written estimates or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other. Notices shall be deemed given when delivered personally, by certified mail, or by nationally recognized overnight courier.
