REPAIR SERVICE AGREEMENT — PUMP REPAIR

This Repair Service Agreement ("Agreement") is entered into on by and between Client Name: and Service Provider: .

WHEREAS

WHEREAS, Client operates or owns pumping equipment requiring diagnostic, repair and maintenance services, including but not limited to centrifugal, submersible and transfer pumps; and

WHEREAS, Service Provider represents that it has the technical expertise, personnel and licenses necessary to perform repair services on the described pump equipment and to supply replacement parts consistent with industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform pump repair services at Client's facility or at Service Provider's workshop.

SCOPE OF WORK

Service Provider will perform the Scope of Work for the total amount of $.

Any undisputed invoice not paid within days of invoice due date shall incur a late fee of or per month, whichever is greater.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, terminates on .

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for days after receipt of written notice of breach.

CONFIDENTIALITY

Each party shall hold in strict confidence all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Confidential Information does not include information that (a) is already known to the recipient without restriction, (b) is lawfully obtained from a third party without confidentiality obligations, (c) is or becomes generally available to the public other than through a breach of this Agreement, or (d) is independently developed without use of the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees, contractors or advisors on a need-to-know basis so long as such persons are bound by confidentiality obligations at least as protective as those in this Agreement. The receiving party shall use Confidential Information solely to perform its obligations under this Agreement.

WARRANTIES; LIMITATIONS

Service Provider warrants that repairs and replacement parts supplied under this Agreement shall be free from defects in material and workmanship for a period of days from completion of the work. This warranty covers only the specific repair work performed and does not extend to consequential damage or pre-existing equipment condition unless expressly stated.

EXCEPT FOR THE EXPRESS WARRANTY ABOVE, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM PERFORMANCE OR BREACH OF THIS AGREEMENT.

INSURANCE; INDEMNIFICATION

Service Provider shall maintain, at its expense, commercial general liability insurance and, where applicable, workers' compensation insurance in amounts customary for the trade and sufficient to cover liabilities arising out of the performance of the Scope of Work. Upon request, Service Provider shall provide certificates of insurance evidencing coverage.

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, damages and costs (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement or its negligent acts or willful misconduct in connection with performance under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the parties below. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including its Schedules and Exhibits if any, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by an authorized representative of each party.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as a party may designate in writing. Notices shall be deemed given on receipt if delivered personally, by nationally recognized overnight courier, or by certified mail, return receipt requested.
