REPAIR SERVICE SALT CELL REPAIR AGREEMENT

This Repair Service Agreement (the "Agreement") is entered into effective as of by and between Client Name: ("Client") and Service Provider Name: ("Provider").

RECITALS

WHEREAS, Client owns or maintains a salt chlorine generator cell described as Model: , Serial No.: (the "Salt Cell"); and

WHEREAS, Provider is duly qualified and experienced to perform diagnostic, maintenance and repair services for salt chlorine generator cells and related pool equipment; and

WHEREAS, Client desires Provider to perform repair services on the Salt Cell and Provider agrees to perform such services subject to the terms and conditions set forth herein.

SCOPE OF WORK

PAYMENT TERMS

Total Agreed Price: $ (inclusive of labor and parts unless otherwise indicated). Provider will issue an itemized invoice showing labor and parts.

Balance Due: $ payable on or before .

Late Payment: Any past-due amount will accrue interest at the maximum lawful rate or after days. Client is responsible for collection costs and reasonable attorney fees incurred to collect overdue sums.

PARTS, DISPOSAL & WARRANTIES

Disposal of Replaced Parts: Provider is authorized to dispose of replaced parts unless Client marks retained parts below.

Warranty on Work: Provider warrants repair workmanship for a period of from completion. Warranty covers only the specific repair work performed and replaced parts installed by Provider. This warranty does not cover failures due to normal wear, misuse, neglect, electrical surge, improper installation by others, or chemicals outside manufacturer specifications.

TERM AND TERMINATION

Term: This Agreement commences on and terminates upon completion of the services described in the Scope of Work or on , whichever occurs first, unless earlier terminated in accordance with this Agreement.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination will not relieve Client of obligation to pay for services performed and parts supplied prior to termination.

CONFIDENTIALITY

Each party shall keep confidential all non-public business and technical information received from the other party in connection with this Agreement. Confidential information does not include information that is or becomes publicly available without breach of this Agreement, or that is rightfully received from a third party without restriction. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, Provider's aggregate liability arising out of or in connection with this Agreement shall be limited to the total amounts paid by Client to Provider under this Agreement. IN NO EVENT SHALL PROVIDER BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement: This Agreement, including any attachments or written change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its business.

Independent Contractor: Provider is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between the parties.
