REPAIR SERVICES AGREEMENT — LEAK REPAIRS

This Repair Services Agreement (the Agreement) is entered into between Client Name: and Contractor Name: (each a Party and together the Parties).

Recitals

WHEREAS, Client seeks professional repair services to locate, diagnose and repair leaks at the property described below; and

WHEREAS, Contractor represents that it possesses the skill, experience, equipment, licensing and insurance necessary to perform leak detection and repair services in a good and workmanlike manner; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Contractor will perform the repairs and Client will pay for those services.

Parties and Project Details

Scope of Work

Contractor shall provide leak detection, repair and associated services as described below. The services shall include inspection, testing, excavation or non-invasive detection as required, repair of the source of leakage, replacement of failed components, leak containment, and surface restoration as agreed.

Payment Terms

Client agrees to pay Contractor the Total Contract Amount specified below in accordance with the schedule and conditions set forth in this section. All payments are due as invoiced and payable in United States dollars unless otherwise agreed in writing.

Term and Termination

This Agreement commences on the Start Date specified below and continues until Completion Date or until earlier termination in accordance with this section.

Either Party may terminate this Agreement for material breach if the breaching Party fails to cure the breach within the Notice Period specified below after receipt of written notice. Client may terminate for convenience provided Client pays Contractor for all Work performed and documented costs plus reasonable demobilization expenses.

Confidentiality

Each Party shall hold in confidence and not disclose to any third party any non-public information obtained in connection with this Agreement, including but not limited to trade secrets, repair techniques, building plans and pricing information, except as required by law or as necessary to perform the Work. Confidential information does not include information that is or becomes generally known to the public through no fault of the receiving Party.

Insurance, Permits and Compliance

Contractor shall maintain, at its expense, commercial general liability insurance and workers' compensation insurance as required by law and industry practice. Contractor shall obtain and pay for permits and inspections required for performance of the Work, unless otherwise agreed in writing.

Warranty and Remedies

Contractor warrants that Work performed under this Agreement shall be free from defects in workmanship for the Warranty Period specified below following final completion and payment. This warranty covers repair of defects arising from Contractor workmanship; it does not cover defects resulting from misuse, subsequent alterations, damage by others, or normal wear and tear. If Client notifies Contractor of a warranty defect during the warranty period, Contractor shall, at its option, correct the defect or reimburse Client for reasonable repair costs.

Change Orders

Any change to the Scope of Work, materials, price or schedule must be made by written Change Order signed by both Parties. Contractor shall not be obligated to perform changed work absent an executed Change Order setting forth the scope, price and schedule adjustments.

Indemnification and Limitation of Liability

Contractor shall indemnify and hold harmless Client from claims, liabilities or damages to the extent caused by Contractor's negligent acts or omissions in performing the Work. Except for liability arising from gross negligence or willful misconduct, each Party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the Total Contract Amount paid to Contractor.

Completion, Acceptance and Cleanup

Upon completion, Contractor shall notify Client and Client shall have a reasonable period to inspect the Work. Acceptance shall not be unreasonably withheld. Contractor shall remove job-related debris and reasonably restore surfaces disturbed by the Work unless otherwise agreed.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the Property is located, without regard to conflict of law principles. This Agreement, including any executed Change Orders, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior proposals, negotiations and representations, whether oral or written. No amendment shall be binding unless in writing and signed by both Parties.

Miscellaneous Provisions

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be given in writing to the addresses set forth above or to such other address as a Party may designate in writing.
