REPAIR SERVICES — SIDING REPAIR AGREEMENT

This Repair Services Agreement (the "Agreement") is made effective as of by and between Client Name: with address , and Contractor Name: with address .

WHEREAS

WHEREAS, Client owns or controls the real property located at (the "Property"); and

WHEREAS, Contractor is duly licensed and equipped to perform siding repair, replacement and related services, and desires to provide such services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth herein the scope, payment, schedule and other terms governing Contractor's repair services to the Property.

SCOPE OF WORK

Contractor shall furnish all labor, materials, tools and equipment and shall perform the siding repair work described below at the Property in a professional and workmanlike manner in accordance with applicable industry standards and all applicable codes and regulations.

MATERIALS, PERMITS AND WARRANTIES

Materials: Contractor will supply materials described in the Scope of Work unless otherwise agreed in writing. Client may approve substitutions in writing. Contractor warrants that materials and workmanship furnished under this Agreement will be free from material defects for a period of months from the date of final acceptance.

Permits: Contractor is responsible for obtaining all required permits unless the parties expressly agree otherwise in writing. Contractor shall comply with permit conditions and local code requirements.

PAYMENT TERMS

Total Contract Price: $

Late Payment: Any undisputed past-due amount shall accrue interest at the rate of applied monthly until paid. Client is responsible for costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

Term: This Agreement commences on and shall expire on unless earlier terminated in accordance with this Agreement.

Termination: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Client may terminate for convenience upon payment for work performed and materials ordered plus reasonable demobilization costs.

CHANGE ORDERS

Any change in the Scope of Work, materials, or schedule shall be executed only by a written Change Order signed by both parties. The Change Order shall specify the change, any adjustment to the Contract Price, and any change to the schedule.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential information of the other party. "Confidential Information" means non-public business, technical, financial or other information disclosed in connection with this Agreement. Recipient shall not disclose such Confidential Information to third parties and shall use it only for performance under this Agreement. Confidential obligations do not apply to information that is or becomes publicly available through no fault of the recipient, is independently developed, or is required to be disclosed by law.

INSURANCE, LICENSES AND COMPLIANCE

INSPECTION, ACCEPTANCE AND FINAL PAYMENT

LIENS, INDEMNIFICATION AND LIMITATION OF LIABILITY

Liens: Contractor shall promptly pay all subcontractors and material suppliers and shall keep the Property free of mechanics' or materialmen's liens. If liens are filed, Contractor shall promptly bond or remove them at Contractor's expense.

Indemnification: Contractor shall indemnify, defend and hold harmless Client from and against claims, liabilities, damages, losses and expenses arising out of Contractor's breach, negligence or willful misconduct in the performance of the Work, except to the extent caused by Client's negligence.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, each party's total liability to the other for any claim arising under this Agreement shall not exceed the total amount actually paid to Contractor under this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of .

Disputes: The parties will attempt in good faith to resolve disputes promptly by negotiation. If negotiation fails, the parties may pursue litigation in courts of competent jurisdiction in the governing law jurisdiction.
