REPLACEMENT DELIVERY UPS

RECITALS

This Replacement Delivery Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Carrier Name: .

SCOPE OF WORK

Carrier shall arrange, process, and execute replacement delivery services for the shipment identified below. Carrier's responsibilities include pickup, transit, delivery to the Delivery Address, provision of proof of delivery, and communication regarding delivery status. Carrier shall comply with reasonable handling and packaging requirements specified by Client and shall use commercially reasonable efforts to deliver replacement shipment within the agreed Delivery Window.

PAYMENT TERMS

Client shall pay Carrier an aggregate replacement delivery fee as follows. Payments shall be made in U.S. dollars in accordance with the schedule below.

Late Payment Fee: A late fee of % per month (pro rated daily) shall apply to overdue balances, plus collection costs, court costs, and reasonable attorneys' fees.

 Carrier to procure insurance coverage equal to the declared package value unless Client elects to self-insure in writing.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Termination for cause shall be permitted where a party materially breaches any obligation and fails to cure such breach within 14 days after receipt of written notice.

CONFIDENTIALITY

Each party shall hold in confidence and shall not disclose to any third party any non-public business, technical or financial information of the other party disclosed in connection with this Agreement. Confidential information does not include information that is or becomes publicly available through no wrongful act of the receiving party, is rightfully received from a third party without restriction, or is independently developed. The receiving party shall use confidential information solely to perform its obligations under this Agreement.

LIABILITY, INSURANCE, AND INDEMNIFICATION

Carrier shall maintain insurance appropriate for carriage and replacement delivery. Except for willful misconduct or gross negligence, each party's liability under this Agreement shall be limited to direct damages and in no event shall either party be liable for special, consequential, incidental or punitive damages. Client shall indemnify and hold Carrier harmless from claims arising from Client's improper packaging, inaccurate declared value, or prohibited contents.

CLAIMS, PROOF OF DELIVERY, AND TIMELY NOTIFICATION

All claims for loss, damage, or delay related to the replacement delivery must be submitted in writing within days of actual delivery (or of the date on which delivery should have occurred). Carrier will provide proof of delivery documentation upon request.

FORCE MAJEURE

Neither party shall be liable for delays or failures to perform caused by events beyond its reasonable control, including acts of God, governmental actions, strikes, pandemics, or severe weather. The affected party shall provide prompt notice and use commercially reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

ENTIRE AGREEMENT
