REPORTING DOCUMENT ANNEX

This Reporting Document Annex ("Annex") is entered into as part of the underlying agreement between the parties identified below and is effective as of .

WHEREAS, the parties have entered into a primary agreement under which certain operational reporting and data deliverables are required; and

WHEREAS, the parties desire to set forth the specific reporting obligations, frequencies, formats, and acceptance criteria for such deliverables in this Annex; and

WHEREAS, consistent reporting is essential for compliance, payment, and audit purposes and the parties intend this Annex to govern those reporting processes.

Scope of Work — Reports and Deliverables

The Provider shall prepare and deliver the reports, data extracts and documentation described below in accordance with the schedule and formats set forth in this Annex.

Delivery Deadline: Reports shall be delivered within  business days following the end of the reporting period. Acceptance Period: Receiving party shall provide written acceptance or written rejection with specified defects within  business days of delivery.

Records, Retention and Audit Rights

The Provider shall retain copies and source records underlying each report for a period of at least  months from the date of delivery and shall permit Client or its authorized auditors to inspect such records upon reasonable written notice and during normal business hours.

Payment Terms

In consideration for the reporting services described in this Annex, Client shall pay Provider the amounts and in accordance with the schedule set forth below.

Late Fee: Overdue invoices shall accrue interest at the rate of  per month (or the maximum permitted by applicable law) calculated monthly from the date payment was due until paid.

Either party may terminate this Annex for convenience upon written notice to the other party delivered at least  days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for thirty (30) days following written notice specifying the breach.

Confidentiality

Each party acknowledges that reports and the underlying data may constitute Confidential Information. For the purposes of this Annex, "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Annex. Receiving party shall: (a) use Confidential Information solely to exercise rights and perform obligations under this Annex; (b) restrict disclosure to its employees, contractors or agents who have a need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is or becomes publicly known through no breach by the receiving party, or that is required to be disclosed by law, provided the disclosing party is given prompt notice and opportunity to seek protective measures.

Governing Law; Dispute Resolution

This Annex shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles. The parties shall attempt in good faith to resolve any dispute arising under this Annex promptly by negotiation between senior representatives. If unresolved within 30 days, the dispute may be submitted to the competent courts in the chosen jurisdiction.

Amendments; Entire Agreement

This Annex constitutes the complete and exclusive statement of the reporting obligations of the parties with respect to the subject matter hereof and supersedes any prior written or oral agreements pertaining to such reporting. No amendment or waiver of any provision of this Annex shall be effective unless in writing and executed by authorized representatives of both parties.

Miscellaneous Provisions

Severability: If any provision of this Annex is held invalid or unenforceable, the remaining provisions shall continue in full force. No waiver shall be deemed to constitute a further or continuing waiver. The parties acknowledge that monetary damages may be inadequate remedy for breach of confidentiality or data protection obligations and agree that injunctive relief may be sought to prevent actual or threatened breaches.
