This Representative Agreement ("Agreement") is entered into as of by and between Principal Name: with principal place of business at , and Representative Name: with address at .

RECITALS

WHEREAS, Principal develops, manufactures, supplies or distributes the products and/or services described in Exhibit A and desires to appoint a representative to solicit orders and promote such products and services on the terms set forth herein; and

WHEREAS, Representative has represented that it has the experience, contacts and capability to market the products and services in the territory described below and is willing to act as representative under the terms of this Agreement; and

WHEREAS, the parties desire to set forth their agreement regarding appointment, duties, compensation and other terms relevant to the Representative relationship.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. APPOINTMENT

1.1 Appointment. Principal hereby appoints Representative as its non-exclusive/ exclusive Non-exclusive Exclusive sales representative to solicit orders for the products and services set forth in Exhibit A within the territory . Representative accepts such appointment and agrees to use commercially reasonable efforts to promote sales.

2. SCOPE OF AUTHORITY; LIMITATIONS

2.1 Authority. Representative is authorized to solicit orders and provide information concerning the products and services but shall have no authority to accept orders, amend prices, make representations or bind Principal except as expressly authorized in writing. All orders are subject to Principal's acceptance.

2.2 Restrictions. Representative shall not: (a) make any warranties on behalf of Principal beyond those in Principal's published materials; (b) alter or modify product specifications; or (c) incur any obligation on behalf of Principal without prior written consent.

3. REPRESENTATIVE OBLIGATIONS

3.1 Performance. Representative shall diligently promote the sale of Principal's products and services, promptly transmit purchase inquiries and orders to Principal, and provide timely reports as reasonably requested by Principal.

3.2 Compliance. Representative shall comply with all applicable laws, regulations, and industry standards in performing under this Agreement and shall not engage in deceptive, unethical or illegal practices in the sale or promotion of products.

4. COMPENSATION

4.1 Commission. Principal shall pay Representative a commission of of Net Sales of products and services accepted by Principal. "Net Sales" means gross invoiced sales less returns, credits and taxes.

4.2 Payment Terms. Commissions will be calculated monthly and paid within days after Principal receives payment from the customer, subject to reconciliation and set-off for customer disputes.

5. TERM AND TERMINATION

5.1 Term. This Agreement shall commence on the Effective Date and continue until unless earlier terminated in accordance with this Agreement.

5.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice.

5.3 Termination for Cause. Either party may terminate immediately upon written notice if the other party materially breaches any provision and fails to cure within days of receipt of notice.

6. CONFIDENTIALITY

6.1 Definition. "Confidential Information" means non-public technical, commercial, financial and other information disclosed in connection with this Agreement.

6.2 Obligations. Each party shall protect Confidential Information with the same degree of care it uses to protect its own confidential information but no less than a reasonable standard, shall not disclose to third parties, and shall use Confidential Information only to perform obligations under this Agreement. Confidentiality obligations shall survive termination for a period of years.

7. INTELLECTUAL PROPERTY

7.1 Ownership. All trademarks, trade names, patents, copyrights and other intellectual property provided by Principal are and shall remain the exclusive property of Principal. Representative is granted a limited, non-exclusive, non-transferable license to use Principal's marks solely to perform under this Agreement during the Term.

7.2 Restrictions. Representative shall not contest Principal's rights in the intellectual property or register any mark confusingly similar to Principal's marks.

8. INDEPENDENT CONTRACTOR

8.1 Status. Representative is an independent contractor and not an employee, partner or agent of Principal for any purpose except as expressly provided in this Agreement. Representative shall be solely responsible for payment of its own taxes, benefits and insurance.

9. INDEMNIFICATION; INSURANCE

9.1 Indemnity. Each party shall indemnify, defend and hold harmless the other party from and against any claims, losses, liabilities, damages and expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

10. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Aggregate liability under this Agreement shall not exceed the commissions paid or payable to Representative in the twelve (12) months preceding the claim.

11. NOTICES

All notices shall be in writing and delivered by hand, nationally recognized overnight courier, certified mail (return receipt requested) or email to the addresses below and shall be effective upon receipt.

12. MISCELLANEOUS

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

12.2 Entire Agreement. This Agreement, together with all exhibits and schedules, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof.

12.3 Amendments; Waiver. No amendment or waiver shall be effective unless in writing and signed by both parties. The failure to enforce any provision shall not constitute a waiver of that provision.

12.4 Severability. If any provision is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

12.5 Assignment. Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Principal may assign to an affiliate or in connection with a merger or sale of substantially all assets.

12.6 Counterparts; Electronic Signature. This Agreement may be executed in counterparts, each of which shall be deemed an original, and facsimile or electronic signatures shall have the same force and effect as originals.
