Confidentiality

All information designated as confidential by the Issuer or that a reasonable business person would understand to be confidential, including proposal content and any materials exchanged during negotiations, shall be treated as Confidential Information. Each Proposer shall not disclose Confidential Information except as required by law or as necessary to perform the services, and shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall survive termination of any subsequent contract for a period of three (3) years unless otherwise stated.

The contract awarded as a result of this RFP shall incorporate standard provisions including, without limitation, representations and warranties, indemnification, insurance, compliance with laws, data protection, and limitation of liability.
