WHEREAS, submission of a Quote by the Supplier constitutes an offer to provide goods and/or services subject to the terms, representations and warranties contained in this RFQ and any subsequent agreement executed by the parties.

Confidentiality

All information exchanged in connection with this RFQ and any resulting contract that is designated confidential, or which by its nature should reasonably be considered confidential, shall be held in strict confidence by the receiving party. Confidential information shall not be used for any purpose other than evaluating or performing the agreed goods or services. The obligations of confidentiality will not apply to information that is (a) publicly known through no fault of the recipient, (b) lawfully received from a third party without restriction, or (c) independently developed by the recipient without use of the disclosing party's confidential information.

Governing Law; Entire Agreement

Governing Law: The interpretation and enforcement of this RFQ and any resulting agreement shall be governed by the laws of the state of without regard to its conflict of law provisions.

Entire Agreement: Submission of a Quote in response to this RFQ and any subsequently executed agreement constitute the entire agreement between the parties with respect to the subject matter and supersede all prior negotiations, representations, or agreements, whether written or oral.

Supplier Representations and Certifications

By submitting a Quote, the Supplier certifies that: (a) the information provided is true and accurate to the best of its knowledge; (b) Supplier has the authority to bind the entity submitting the Quote; (c) prices submitted are firm for the period specified in Quote Valid Until above; and (d) Supplier will comply with applicable laws and regulations in performing any resulting agreement.

Bid Acceptance

The Requestor reserves the right to accept or reject any Quote, waive informalities or minor irregularities, and negotiate with the Supplier that submits the most advantageous proposal. No award will be binding on the Requestor until a written contract or purchase order has been executed by both parties.
