Recitals

WHEREAS, Client engages Service Provider to perform services described in this Agreement and Service Provider has the expertise, personnel and resources to perform such services; and

WHEREAS, as a material condition of commencing work, Client requires Service Provider to deliver and maintain certain documentary evidence and records enumerated below (collectively, the Required Uploads) and Service Provider agrees to deliver such Required Uploads in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth in writing their agreement with respect to the scope of services, payment, required uploads, confidentiality and other terms governing the engagement.

Scope of Work

Required Uploads

The Service Provider shall upload the following documents prior to commencing work. Each item must be current, legible, and delivered in PDF format unless otherwise indicated.

I have uploaded a valid government-issued photo ID.

I have uploaded a current Certificate of Insurance evidencing the required coverage and naming Client as additional insured where required.

I have uploaded current business or professional licenses required to perform the services.

I have uploaded completed tax forms required for payment processing.

I have uploaded bank routing and account verification documents for electronic payments.

I have uploaded the project plan, key personnel resumes, and any professional certifications required by Client.

I have uploaded three business references or client contact information for references.

Additional documents may be required depending on the nature of the services. Service Provider shall notify Client of any outstanding Required Uploads within three (3) business days of request.

Payment Terms

Late fee assessed at on overdue amounts, beginning fifteen (15) days after the invoice due date.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days written notice to the other party. Termination for cause may occur immediately upon material breach that is not cured within ten (10) days after written notice of such breach.

Confidentiality

The parties acknowledge that in connection with the performance of services, each may receive Confidential Information of the other. "Confidential Information" means non-public information disclosed in any form that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees: (a) to hold the other party's Confidential Information in strict confidence; (b) not to use such Confidential Information except as necessary to perform its obligations under this Agreement; and (c) not to disclose such Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by equivalent confidentiality obligations. Confidential Information does not include information that is or becomes publicly available without breach by the receiving party, independently developed by the receiving party without use of the disclosing party's Confidential Information, or rightfully received from a third party without confidentiality obligations.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law rules.

Entire Agreement

This Agreement, together with the Required Uploads delivered and any statement of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

By signing below, Service Provider certifies that all uploaded documents are true, accurate and complete copies of the originals and that Service Provider will promptly update any Required Uploads that expire or are materially changed during the term of this Agreement.
