Certifications, Authorization & Indemnity

Applicant certifies under penalty of perjury that all purchases made pursuant to Applicant's resale permit will be for resale and not for personal or other non-exempt use. Applicant will promptly notify Vendor in writing if the resale permit is revoked, suspended, or otherwise becomes invalid.

Applicant authorizes Vendor to verify credit and trade references and to obtain credit reports as necessary. Applicant agrees to indemnify and hold Vendor harmless from any tax, interest, penalty or liability arising from misuse of the resale certificate by Applicant.

Applicant acknowledges that Vendor may require submission of a copy of the resale permit and such additional documents as Vendor reasonably requests prior to acceptance of tax-exempt resale transactions.

Governing Law & Miscellaneous

This application, and any credit extension or sales occurring pursuant to it, shall be governed by and construed in accordance with the laws of the state in which Vendor maintains its principal place of business, without regard to conflict of laws principles. Venue for disputes shall be in the state and federal courts located in that jurisdiction.

This application, together with Vendor's credit approval, constitutes the entire agreement with respect to Applicant's request for credit and supersedes all prior representations and understandings. Any amendment must be in writing and signed by an authorized representative of Vendor.
