Recitals

WHEREAS, the parties entered into an original agreement or schedule on (the Original Schedule), pursuant to which certain services or deliverables were to be performed; and

WHEREAS, due to the circumstances described as: , the parties desire to amend the timing of specified milestones and related terms; and

WHEREAS, the parties intend for this Rescheduling Agreement to modify only the schedule and related limited provisions identified herein and not to otherwise modify the substantive rights and obligations except as expressly stated.

Scope of Work and Rescheduled Milestones

The parties agree that the following deliverables, milestones, and responsibilities are rescheduled as set forth below. All other deliverables and obligations under the Original Schedule remain in full force and effect except as amended by this Agreement.

Payment Terms

To the extent the schedule adjustment affects amounts or timing of payments, the parties agree the payment terms set forth below supersede the Original Schedule only as to timing and amounts expressly stated herein.

Term and Termination

This Agreement shall commence on the Effective Date set forth above and shall continue until completion of the rescheduled obligations or termination in accordance with this section.

Either party may terminate this Agreement for material breach by the other party that remains uncured after the notice period specified above. Termination shall not relieve either party of payment obligations accrued prior to termination.

Confidentiality

Each party shall maintain in strict confidence any non-public information received from the other party in connection with the Original Schedule or this Rescheduling Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes generally available to the public through no act or omission of the receiving party, (ii) is lawfully received from a third party without restriction, or (iii) is independently developed without use of the disclosing party’s Confidential Information.

The receiving party shall use Confidential Information only for the purposes of performing its obligations under this Agreement and shall restrict disclosure to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein.

Representations; Warranties; Amendment

Each party represents and warrants that it has full power and authority to enter into this Agreement and that this Agreement constitutes a binding obligation enforceable against it in accordance with its terms. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

Entire Agreement

This Rescheduling Agreement, together with the Original Schedule as modified hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, negotiations and communications, whether written or oral, concerning the subject matter of this Agreement.

Additional Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a substitute valid provision that most nearly effects the parties' original intent. Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control.
