Either party may terminate this engagement for convenience upon days' prior written notice to the other party. Upon termination, the Proposer shall be entitled to payment for work performed through the effective date of termination and for any non-cancellable commitments necessarily incurred.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that (a) is or becomes publicly available without breach, (b) was known to the recipient prior to disclosure, (c) is lawfully received from a third party without restriction, or (d) is independently developed.

Obligations: The recipient shall (i) protect Confidential Information with at least the same degree of care as its own confidential information but not less than reasonable care, (ii) use Confidential Information solely to perform its obligations under this Memo, and (iii) not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

INTELLECTUAL PROPERTY

Ownership of Work Product: Unless otherwise agreed in writing, all original research data, reports and deliverables created by the Proposer specifically for the Client under this Memo shall be assigned to the Client upon full payment; Proposer retains the right to use anonymized or aggregated findings for academic or professional purposes provided no Confidential Information or Client-identifying data is disclosed without prior consent.

GOVERNING LAW

This Memo and any dispute arising out of or relating to it shall be governed by the laws of: , without regard to conflict of law principles.

ENTIRE AGREEMENT

Integration: This Research Proposal Memo, together with any attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the research engagement and supersedes all prior and contemporaneous agreements, understandings, communications and proposals, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Limitation of Liability: Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and each party's aggregate liability shall be limited to the total compensation paid under this Memo.
